Yuno Tecnologías S.A.P.I. de C.V. (hereinafter "Yuno") is a company incorporated under Mexican law under deed number 158,719 granted before Notary Number 132 of Mexico City. For all purposes of this Agreement (hereinafter "Terms and Conditions"), Yuno operates Yuno's cloud-based payment-orchestration platform and any related technology, including dashboards, application programming interfaces, software-development kits, and the professional or technical support services provided by Yuno. Through the Services, Companies can access multiple payment methods, fraud-prevention tools, and other integrated payment-industry solutions (hereinafter collectively referred to as the "Services").

The Company (hereinafter the "Company") shall be the individual or legal entity that, through an Order Form, contracts and acquires the Services provided by Yuno.

‍

These Terms and Conditions, together with any applicable Order Form executed by the parties and the schedules and annexes referenced herein, constitute the complete agreement between Yuno and Company (the "Agreement"). References to "this Agreement" throughout these Terms and Conditions refer to the entire contractual framework, while references to "these Terms and Conditions" refer specifically to this document. In the event of any conflict between these Terms and Conditions and an Order Form, the Order Form shall prevail.

DEFINITIONS

‍

For purposes of this Agreement, the following terms shall have the meanings set forth below:

‍

"Affiliate" means, with respect to any party, any entity that directly or indirectly controls, is controlled by, or is under common control with such party, where "control" means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such entity, whether through ownership of voting securities, by contract, or otherwise.

"Agreement" means this Agreement, together with any applicable Order Forms, Service Level Agreement, Data Processing Agreement, and all exhibits, Annexes, or other documents incorporated herein by reference, as each may be amended, modified, or supplemented from time to time in accordance with the terms hereof.

‍

"API" means Yuno's application programming interfaces that enable Company to access, integrate with, and use the Services, including all related documentation, software development kits, and technical specifications.

‍

"Company Data" means all electronic data, information, content, materials, or other intellectual property submitted, uploaded, transmitted, or otherwise provided by Company to Yuno in connection with Company's use of the Services.

‍

"Confidential Information" means any and all technical, commercial, financial, strategic, legal, operational, or other proprietary information related to either party's business operations, plans, strategies, customers, suppliers, partners, or affairs, whether disclosed orally, in writing, electronically, or by any other means, and whether or not marked as confidential.

‍

"Company" means the individual or legal entity that enters into an Order Form with Yuno to acquire and use the Services provided by Yuno.

‍

"Data Processing Agreement" means Yuno's Global Data Processing Agreement that governs the processing of personal data in accordance with applicable privacy and data protection laws, attached as Annex B and incorporated herein by reference.

‍

"Documentation" means all user guides, technical manuals, operational procedures, API documentation, integration guides, and other written or electronic materials provided by Yuno that describe the installation, configuration, operation, use, or technical specifications of the Services.

‍

"Effective Date" means the effective date as specified in the relevant Order Form.

‍

"Force Majeure Event" means any cause, condition, or event beyond the reasonable control of the affected party, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, regulatory changes, failures or disruptions of telecommunications networks, internet service providers, or other third-party services.

‍

"Intellectual Property Rights" means all intellectual property rights of any kind anywhere in the world, including but not limited to patents, copyrights, trademarks, trade secrets, know-how, and any applications, registrations, renewals, or extensions thereof.

‍

“Monthly Platform Fee” means the fixed subscription fee payable by the Company to Yuno on a monthly basis, which includes many active users (with an additional charge per extra user per month), unlimited connections and tokens, full access to all Yuno connections available at the time, and support services.

‍

"Order Form" means a written agreement, order form, statement of work, or similar document executed by both parties that references and incorporates this Agreement and specifies the particular Services to be provided, applicable fees, payment terms, service levels, and other commercial or technical terms specific to such Services.

‍

"Service Level Agreement" or "SLA" means the service level commitments, availability targets, performance standards, measurement methodologies, remedies, and related terms applicable to the Services as set forth in Annex A attached hereto and incorporated herein by reference.

‍

"Services" means Yuno's cloud-based payment-orchestration platform and any related technology, including but not limited to dashboards, application programming interfaces, software-development kits, integration tools, and the professional or technical support services provided by Yuno. Through the Services, Companies can access multiple payment methods, fraud-prevention tools, and other integrated payment-industry solutions.

"Subscription Fees" means all fees, charges, and other amounts payable by Company to Yuno for the Services as specified in the applicable Order Form.

‍

"Subscription Term" means each period during which Services are provided to Company, as specified in the applicable Order Form, including the initial term and any renewal periods.

‍

“Transaction Fee - Account Updater” means a fee charged for each update using the automatic card data update service provided by the card schemes, which supplies updated card information such as account number changes, expiration dates, closed account notifications, and recommendations to contact cardholders. The card schemes may unilaterally adjust the prices applicable to this service at any time, without prior notice. In such a case, Yuno shall immediately and thoroughly pass through the adjusted prices to the Company, and shall not apply any mark-up or surcharge to the amounts so stipulated.

“Transaction Fee - Chargeback Alerts” means  (a) Ethoca Service (Mastercard). A fee charged for the use of the Ethoca service, an information-sharing solution among card issuers, merchants, and acquirers designed to mitigate risks of fraudulent transactions and disputes (chargebacks). Integration with the Ethoca platform grants the Merchant near real-time access to alerts of potentially disputed transactions, enabling preventive measures such as order cancellation or suspension of goods/services delivery. The service aims to reduce financial losses, improve reconciliation processes, and increase efficiency in fraud and dispute management. The applicable fee per alert shall apply to Merchants not classified as high-risk. For this Agreement, high-risk merchants are those classified under the following Merchant Category Codes (MCCs): 4816, 5122, 5816, 5912, 5962, 5966, 5967, 5993, 6051, 7273, and 7995. For such high-risk merchants, the fee shall may be governed by this clause and may be subject to negotiation between the Parties through a specific contractual amendment. (b) Verifi Service (Visa). A fee charged for the use of the Verifi service, which aims to prevent chargebacks through real-time information sharing between card issuers and merchants. This solution provides the Merchant with early alerts of disputes before the chargeback is effected, allowing corrective measures such as proactive refunds or suspension of goods/services delivery. The service is intended to reduce financial losses, increase amicable resolution rates, and improve the end-customer experience.

“Transaction Fee - Fraud Prevention” means a fee charged for each successful API call made to Yuno’s Partner anti-fraud platform, regardless of whether the fraud engine accepts or rejects the transaction. It considers the statuses “Validation Successful” and/or “Evaluation without decision”.

‍

“Transaction Fee - Monitoring” means a fee charged for the fraud risk monitoring service provided by the Contractor, which supervises transactions and related events. This service sends alerts to the Client whenever suspicious or anomalous transaction patterns are detected.

‍

“Transaction Fee - Network Token” means a fee charged for each token-related event generated by Yuno in connection with enabling payments or transactions through the card schemes. For purposes of clarity, such fee shall apply both to (i) the initial generation of a network token, and (ii) any subsequent lifecycle management events, including but not limited to updates, replacements, re-provisioning, or other modifications required by the card schemes. Each token generation and each lifecycle update shall be deemed a separate transaction for billing purposes.

“Transaction Fee - Payment” means a fee charged for each transaction in which the payment, pay-out, refund, or validation is successfully completed through the Yuno Platform. For purposes of clarity, a transaction shall be deemed successfully completed when it reaches a final status of “Authorization Successful,” “Payment successfully processed under the applicable purchase methodology,” or “Refund processed successfully.”. For the avoidance of doubt, Yuno shall be entitled to charge Transaction Fees for both verifications, successful payment (payin or payout) transactions and successful refund transactions.

“Transaction Fee - Risk Conditions” means a fee charged for each transaction that is evaluated against predefined risk rules or lists established by Yuno (including, by way of example, “Block List” or “White List”), where a transaction presents risk characteristics, including but not limited to high fraud risk or anomalies in user behavior. Such evaluation may result in one of the following outcomes: “allow,” “block,” or “review.” A fee shall be charged for every transaction that results in any of these outcomes, irrespective of whether the transaction is subsequently completed, declined, or held for further verification.

“Transaction Fee - Smart Routing” means a fee charged for the use of Yuno’s proprietary routing technology that dynamically directs transactions to the most efficient or cost-effective acquiring network or payment channel based on operational parameters, success rates, and cost optimization logic.

‍

“Transaction Fee - 3DS” means a fee applied to each transaction that undergoes authentication through the EMV 3-D Secure (3DS) protocol within Yuno’s infrastructure. For billing purposes, one (1) 3DS Transaction shall be counted when any of the following events occur: (i) a Versioning Request with its corresponding response is processed; (ii) an Authentication Request is processed without a prior Versioning Request; or (iii) a Verify Enrollment Request is processed under 3DS 1.0. If a Versioning Request and an Authentication Request are part of the same flow for the same cardholder, they shall be counted together as one (1) single 3DS Transaction. For the avoidance of doubt, a 3DS Transaction refers exclusively to authentication processes executed and completed within Yuno’s 3DS environment, and does not include any separate or external 3DS API requests made to third-party servers as described in the definition of “Transaction Fee – External 3DS API Call.”.

“Transaction Fee - External 3DS API Call” means a fee charged per individual API request initiated through Yuno’s platform and directed to an external 3-D Secure (3DS) server (including, without limitation, Access Control Servers (ACS), Directory Servers, or any third-party authentication endpoints) for purposes of authentication, versioning, or verification, regardless of the outcome or whether such request results in a successfully authenticated 3DS Transaction. Each external 3DS API request shall be billed as a separate and independent event. For clarity, External 3DS API Calls are distinct from 3DS Transactions and are not cumulatively charged where the same request results in a single 3DS Transaction processed within Yuno’s environment.

"Trial Period" means any period during which Services are provided to Company on a trial, evaluation, pilot, or demonstration basis at no charge, as specified in the applicable Order Form.

‍

"User" means any individual person who is authorized by Company to access or use the Services under Company's account.

‍

1. SERVICES AND PLATFORM ACCESS

‍

1.1 Service Provision. Subject to the terms and conditions of this Agreement, Yuno shall provide Company with access to Yuno's cloud-based payment orchestration platform and related Services as described in each Order Form for use by Company and its authorized Users. Each Order Form shall set forth the specific nature, scope, and configuration of the payment infrastructure services and platform capabilities that have been selected and purchased by Company,, the Subscription Term during which the Services will be provided,, the Subscription Fees applicable to such Services, payment terms and conditions, or special terms applicable to the Services, and any other commercial, technical, or legal terms specific to such Services. In the event of any conflict or inconsistency between the terms and conditions set forth in an Order Form and these Terms and Conditions, the Order Form shall govern. Company acknowledges and agrees that it shall be solely responsible and liable for all acts, omissions, negligence, misconduct, or breaches by Company or any User in connection with the access to or use of the Services.

1.2 API Access and Integration. Yuno shall use commercially reasonable efforts to promptly provide Company with access to Yuno's application programming interfaces, software development kits, integration tools, and related Documentation. Yuno shall host, maintain, and operate the API infrastructure, and Company shall access such APIs through the Services in accordance with the terms of this Agreement and the applicable Documentation. Company expressly acknowledges and agrees that the API and all functionality, features, and capabilities of the API are available solely through the Services and are not available as standalone products or services, the API is not licensed or provided separately from the Services under any circumstances, all access to and use of the API is subject to the terms and conditions of this Agreement and the applicable Service Level Agreement, and Company shall not access, use, or attempt to access or use the API separately from or independently of the Services.

2. SERVICE LEVEL AGREEMENT

‍

Yuno shall use commercially reasonable efforts to comply with and meet the service level standards, availability commitments, performance targets, and other service level requirements described in the Service Level Agreement set forth in Annex A, which is attached hereto and incorporated into this Agreement by reference as an integral part of this Agreement. The Service Level Agreement includes specific availability commitments and uptime targets for the Services, performance standards and response time requirements, measurement methodologies and calculation procedures, service credits and remedies for failure to meet service level commitments, exclusions and limitations, escalation procedures and communication protocols, maintenance windows and Annexd downtime, and procedures for reporting, tracking, and resolving service level issues and disputes. Customer acknowledges that the service credits set forth in the Service Level Agreement constitute Company's sole and exclusive remedy for any failure by Yuno to meet the applicable service level commitments.

3. ACCOUNT SECURITY AND USAGE REQUIREMENTS

‍

Company shall be solely responsible for maintaining the confidentiality, security, and integrity of all passwords, user credentials, authentication tokens, API keys, access codes, and other login information applicable to Company's account and Users (collectively, "Account Credentials"). Company agrees and acknowledges that Yuno shall have no responsibility or liability whatsoever with respect to any unauthorized access to or use of Company's account or the Services resulting from Company's failure to adequately protect or secure Account Credentials. Company expressly acknowledges and agrees that Account Credentials are personal to each User and shall not be shared, disclosed, or otherwise made available to any unauthorized persons. Company shall implement and maintain appropriate administrative, technical, and physical safeguards to protect Account Credentials from unauthorized access, use, or disclosure, ensure that all Users comply with reasonable security practices and procedures, monitor all account activity and access to the Services, immediately notify Yuno in writing if Company has reason to believe that the security of Company's account has been compromised, that any Account Credentials have been lost, stolen, or otherwise compromised, or that any unauthorized person has gained access to Company's account or any of the Services, and cooperate fully with Yuno in investigating any suspected security incidents or breaches.

4. FEES, PAYMENT TERMS, AND TAX OBLIGATIONS

‍

4.1 Subscription Fees and Payment Obligations. Company shall pay to Yuno all Subscription Fees and other charges in accordance with the payment terms, schedules, and conditions set forth in the applicable Order Form. Company may activate Additional Services through the Services, and upon such activation, Yuno will charge Company for the Additional Services in accordance with the pricing set forth in Annex C (Additional Services Price List), which is attached hereto and incorporated herein by reference. The Subscription Fees do not include any applicable taxes, duties, levies, tariffs, or other governmental charges, which shall be charged separately and in addition to the Subscription Fees as provided herein. Except as otherwise expressly set forth in the applicable Order Form, Yuno shall invoice Company for Subscription Fees in arrears on a monthly basis for the preceding month's Services. Company shall pay all amounts invoiced by Yuno within thirty (30) days after the date of such invoice, and all payments shall be made in the currency specified in the applicable Order Form by wire transfer in immediately available funds to a bank account designated by Yuno in writing. All Subscription Fees and other amounts payable hereunder are non-refundable and non-cancellable except as expressly provided in this Agreement.

4.2 Late Payment, Interest, and Collection Costs. In the event that Company fails to pay any amount when due under this Agreement, such unpaid amount shall bear interest at the rate of one and one-half percent (1.5%) per month, or the highest rate permitted by applicable law, whichever is lower, calculated from the original due date of such amount until the date of payment in full thereof. Company shall be liable for and shall pay all sales, use, value-added, goods and services, and other similar taxes, duties, levies, assessments, or charges of any nature whatsoever imposed by any governmental authority on or with respect to the Subscription Fees and other charges applicable to the provision of the Services, excluding only taxes based solely on Yuno's gross or net income, revenues, or profits.

4.2.1 If the Company fails to pay any invoiced amount within thirty (30) calendar days after its due date, Yuno may suspend access to the Services and the API until all outstanding amounts (including accrued interest and applicable taxes) have been paid in full. If the payment default persists, Yuno shall have the right, at its sole discretion and without further notice, to terminate this Agreement for cause, and all amounts remaining under the current Subscription Term shall become immediately due and payable. Suspension or termination under this Section shall not relieve the Company from its obligation to pay all outstanding fees, interest, or charges accrued prior to such suspension or termination, nor shall it entitle the Company to any service credits, refunds, or compensation of any kind.

4.2.2 The Company expressly acknowledges and agrees that this Agreement, together with all invoices issued by Yuno under it, constitute a valid, liquid, and enforceable commercial obligation (título ejecutivo mercantil) under applicable Mexican law. In the event of non-payment, Yuno shall be entitled to initiate direct executive collection proceedings before the competent courts of Mexico City, without the need for prior demand, declaration, or additional formalities. The Company further agrees that Yuno may, at its sole discretion, certify unpaid invoices before a Notary Public (Fedatario Público) for evidentiary purposes, without prejudice to Yuno’s right to pursue judicial enforcement of the amounts due, together with accrued interest, penalties, and collection expenses as provided in this Agreement.

4.3 Tax Responsibilities. All amounts payable to Yuno under this Agreement shall be paid free and clear of all taxes, deductions, and withholdings. Each party shall be responsible for paying any taxes imposed on it by applicable law in connection with this Agreement and the Services.

‍

4.4 Fee Modifications and Service Credits. Yuno shall not be obligated to issue any refunds or reimbursements for Subscription Fees or other amounts paid by Company, except for service credits as expressly provided in the Service Level Agreement. Upon automatic renewal of any Subscription Term, Yuno may increase Subscription Fees by up to eight percent (8%) with the prior written agreement of the Company. For any price changes during a current Subscription Term Yuno shall provide Company with at least sixty (60) days' prior written notice of such pricing changes, and Company must accept such changes in writing for them to become effective.

4.5 Know Your Customer and Due Diligence. Company shall provide and maintain current, accurate, and complete information regarding its beneficial ownership, business activities, funding sources, and regulatory status. Yuno may apply enhanced due diligence measures for PEPs, high-risk jurisdictions, or elevated-risk business models.

‍

5. REPRESENTATIONS, WARRANTIES, AND ACCEPTANCE

‍

The individual executing this Agreement on behalf of Company represents and warrants that he or she has full corporate power, authority, and legal capacity to represent, bind, and commit Company to compliance with all terms and conditions of this Agreement, and that the execution, delivery, and performance of this Agreement by such individual has been duly authorized by all necessary corporate or other organizational action on the part of Company.

6. LIABILITY, INDEMNIFICATION, AND RISK ALLOCATION

‍

6.1 Company Liability and Responsibility. Company shall be entirely and exclusively responsible for the payment of all salaries, wages, benefits, and other compensation to its employees, as well as the payment and satisfaction of all obligations to its contractors, consultants, and other service providers, any and all damage, loss, injury, liability, or harm that its actions, omissions, negligence, or misconduct, or those of its employees, agents, contractors, or other representatives, may cause to any third parties, any and all breaches of its obligations, duties, or responsibilities under this Agreement or any applicable Order Form, ensuring that all Company Data complies with applicable laws and does not infringe any third-party rights, and obtaining all necessary rights, consents, and authorizations with respect to Company Data and Company's use of the Services.

6.2 Mutual Limitation of Damages. Except with respect to breaches of the Use Restrictions or Confidentiality sections, the infringement, misappropriation, or violation of any Intellectual Property Rights of either party, or either party's indemnification obligations as set forth in the Indemnification section, neither party shall be liable to the other party for any lost profits, lost revenues, lost savings, loss of business opportunities, or any indirect, special, incidental, reliance, punitive, exemplary, or consequential damages of any kind or nature whatsoever, regardless of the form of action or legal theory, whether arising in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether such party has been advised of the possibility of such damages in advance.

6.3 Aggregate Liability Cap. Except with respect to breaches of the Confidentiality section, the infringement, misappropriation, or violation of any Intellectual Property Rights of either party, or the indemnification obligations of either party as set forth in the Mutual Indemnification section, the aggregate liability of each party to the other party for all claims, losses, damages, and expenses arising out of or in connection with this Agreement shall not exceed the total amount of Subscription Fees actually paid by Company to Yuno during the twelve (12) month period immediately preceding the date on which the claim giving rise to such liability first arose. Notwithstanding any provision to the contrary in this Agreement, the sole and exclusive remedy available to Company for any breach of the Service Level Agreement are the service credits provided under such Service Level Agreement, and Yuno shall not be liable for any disclosure, unauthorized access, unauthorized use, loss, theft, or breach of any Company Data or other data or information, except to the extent such disclosure, access, use, loss, theft, or breach results directly from Yuno's gross negligence or willful misconduct.

6.4 Mutual Indemnification. Yuno shall, at its own cost and expense, defend Company, its Affiliates, and their respective directors, officers, employees, consultants, contractors, and agents (collectively, "Company Indemnified Parties") against any and all third-party claims, actions, suits, proceedings, or demands, and shall indemnify and hold harmless the Company Indemnified Parties from and against any and all related losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) resulting from or arising in connection with any actual or alleged breach of this Agreement by Yuno, any actual or alleged infringement, misappropriation, or violation of any third-party Intellectual Property Rights by the Services (excluding any modifications made by Company), any gross negligence or willful misconduct by Yuno in connection with the provision of the Services, or any violation of applicable laws, rules, or regulations by Yuno or any person or entity acting on Yuno's behalf.

Company shall, at its own cost and expense, defend Yuno, its Affiliates, and their respective directors, officers, employees, consultants, contractors, and agents (collectively, "Yuno Indemnified Parties") from and against any and all third-party claims, actions, suits, proceedings, or demands, and shall indemnify and hold harmless the Yuno Indemnified Parties from and against any and all related losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) resulting from or arising in connection with any actual or alleged breach of this Agreement by Company, any actual or alleged infringement, misappropriation, or violation of any third-party Intellectual Property Rights by Company Data or Company's use of the Services, any gross negligence or willful misconduct by Company or any User in connection with the use of the Services, or any violation of applicable laws, rules, or regulations by Company or any person or entity acting on Company's behalf.

The indemnification obligations of each party under this section are expressly conditioned upon the indemnified party providing prompt written notice to the indemnifying party upon becoming aware of any claim subject to indemnification, granting the indemnifying party sole control over the defense and settlement of such claim, and providing reasonable cooperation and assistance to the indemnifying party in the defense or settlement of such claim at the indemnifying party's expense.

7. INTELLECTUAL PROPERTY RIGHTS AND OWNERSHIP

‍

Except as expressly provided herein, nothing contained in this Agreement shall be deemed or construed as transferring, assigning, conveying, or granting, in whole or in part, any Intellectual Property Rights or other proprietary rights from one Party to the other. Under no circumstances shall this Agreement be interpreted or understood as effecting any transfer of title, ownership, or proprietary interest in any technology, software, systems, platforms, tools, methods, processes, know-how, trade secrets, databases, or other intellectual property assets owned, developed, or licensed by Yuno, its parent companies, subsidiaries, Affiliates, or related entities.

It is expressly understood and agreed that Yuno is and shall remain the sole and exclusive owner of all rights, titles, and interests in and to the Services, including, without limitation, the Platform, the APIs, the underlying technology, software, systems, infrastructure, modules, algorithms, tools, source code, interfaces, databases, data flows, analytical models, and all related Intellectual Property Rights, encompassing copyrights, software rights, patents, trademarks, trade secrets, domain names, and any other form of protection under applicable Brazilian law and international treaties.

The Company acknowledges and agrees that its rights with respect to the Services are strictly limited to those expressly granted under this Agreement and that no additional rights, whether by implication, estoppel, or otherwise, are conferred to the Company. The Company shall not, without Yuno’s prior written authorization, copy, reproduce, translate, adapt, modify, reverse engineer, disassemble, decompile, disclose, sublicense, or otherwise use Yuno’s technology beyond the authorized scope set forth herein. The Company further represents and warrants that it shall not claim, directly or indirectly, any right of ownership, authorship, derivative creation, registration, or protection over the Platform, the APIs, the “Yuno” brand, or any elements related to the Services. Any developments, enhancements, bug fixes, customizations, integrations, or improvements made by Yuno, even if based on Company’s suggestions or feedback, shall be deemed exclusive property of Yuno, and the Company shall not acquire any ownership rights, financial compensation, or credit arising therefrom.

Without prejudice to the foregoing, the Company hereby expressly authorizes Yuno to use the Company’s corporate name, trade name, trademarks, logos, distinctive signs, and visual identity elements on Yuno’s official website, promotional materials, corporate presentations, customer lists, case studies, marketing campaigns, and business communications, solely for the purpose of identifying the Company as a Yuno client and describing its use of the Services, provided that such use respects good commercial practices and does not harm the Company’s reputation. This authorization is granted on a non-exclusive, royalty-free, and revocable basis upon written notice, and does not imply any assignment or reciprocal license of trademark rights. Any use of brands, trade names, logos, marketing materials, joint promotional actions, or co-branded initiatives between the Parties shall require prior express written approval of the Party holding the respective rights. Yuno, in turn, undertakes to fully respect the Company’s intellectual property rights, refraining from using or reproducing its distinctive elements in a manner that could cause confusion, improper association, or harm to its image, goodwill, or market reputation.

8. INDEPENDENT CONTRACTOR RELATIONSHIP

‍

Company and Yuno are and shall remain independent contractors with respect to each other, and nothing contained in this Agreement is intended to create, establish, or constitute any partnership, joint venture, association, syndicate, agency, franchise, or employment relationship between the parties. Neither party shall have any right, power, or authority to bind, obligate, or commit the other party in any manner whatsoever to any third party. In furtherance of the foregoing, each party shall fulfill and discharge its respective obligations to third parties, including but not limited to all labor, employment, social security, tax, and other legal obligations, entirely independently of the other party.

9. FORCE MAJEURE

‍

Neither party shall be deemed to be in breach of this Agreement or otherwise liable for any delay in performance or non-performance of any of its obligations under this Agreement to the extent that such delay or non-performance results directly or indirectly from any Force Majeure Event. For purposes of this Agreement, a "Force Majeure Event" shall mean any cause, condition, circumstance, or event beyond the reasonable control of the affected party that could not reasonably have been foreseen at the time of execution of this Agreement or, if foreseen, could not reasonably have been avoided, and that occurs after the execution of this Agreement and prevents, delays, or materially hinders the performance of such party's obligations hereunder. The party affected by a Force Majeure Event shall promptly notify the other party in writing of the occurrence of such event and shall use commercially reasonable efforts to mitigate the effects thereof and to resume performance of its obligations as soon as reasonably practicable.

10. USE RESTRICTIONS AND PROHIBITED ACTIVITIES

‍

Except as expressly authorized by this Agreement or with the prior written consent of Yuno, Company shall not, and shall not permit any User or third party to: modify, alter, tamper with, repair, disclose, translate, or create any derivative works based upon the Services or any component, feature, function, or element thereof; license, sublicense, sell, resell, distribute, redistribute, lease, rent, lend, transfer, assign, or otherwise dispose of or make available the Services or any component thereof to any third party; use the Services to store, transmit, or distribute any viruses, worms, time bombs, trojan horses, malware, spyware, or other malicious or harmful software routines or code designed to permit unauthorized access to, or to disable, erase, or otherwise damage or modify any software, hardware, data, or systems; copy, reproduce, frame, mirror, republish, download, display, transmit, or distribute any part or content of the Services; build, develop, or offer any competing product or service, or copy, imitate, or reverse engineer any features, functions, or capabilities of the Services; interfere with, disrupt, or attempt to interfere with or disrupt the integrity, security, or performance of the Services or any data contained therein; attempt to gain unauthorized access to the Services, Company accounts other than Company's own account, or any systems or networks connected to the Services; disclose to any third party any information, data, reports, analyses, or performance benchmarks related to the Services without Yuno's prior written consent; remove, alter, cover, or obscure any proprietary notices, labels, or marks on or within the Services, including but not limited to copyright notices, trademark notices, patent notices, or confidentiality legends; disclose, share, or make available to any third party any passwords, authentication credentials, API keys, or other access information that Yuno has provided to Company or any Users; create, generate, or retain any copies of any content accessed through the Services, except as may be necessary to print or download insubstantial amounts of such content solely in connection with Company's authorized use of the Services; reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive, determine, or gain access to the source code, underlying algorithms, file formats, programming interfaces, or architectural structure of the Services or any component thereof; circumvent, disable, or otherwise interfere with any security-related features or technological protection measures implemented in or by the Services that are intended to prevent or restrict access to or use of any features or functionality of the Services; impose or attempt to impose any unreasonable or disproportionately large burden or load on the Services or any systems or networks connected thereto; use the Services for any purpose that is unlawful, illegal, fraudulent, harmful, or that advocates, promotes, incites, or instructs others to engage in illegal activity or conduct that would violate applicable laws or regulations; or cause, encourage, enable, instruct, or permit any third party to do any of the foregoing prohibited activities.

11. CONFIDENTIALITY OBLIGATIONS

‍

11.1 Definition and Scope. For purposes of this Agreement, "Confidential Information" shall mean any and all technical, commercial, financial, strategic, legal, operational, marketing, business, or other proprietary information and data relating to either party's business operations, activities, plans, strategies, methods, processes, know-how, trade secrets, customers, suppliers, partners, financial condition, or other affairs, whether disclosed orally, in writing, electronically, visually, or by any other means of communication, and whether or not marked, designated, or otherwise identified as confidential, that is disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") in connection with this Agreement or the relationship between the parties.

11.2 Confidentiality Obligations. The Receiving Party shall maintain the confidentiality of all Confidential Information using the same degree of care that it uses to protect its own confidential information, but in no event less than reasonable care, not disclose, reveal, divulge, or make available any Confidential Information to any third parties without the prior written consent of the Disclosing Party, not use any Confidential Information for any purpose other than as necessary to perform its obligations or exercise its rights under this Agreement, limit access to Confidential Information to those of its employees, agents, contractors, and advisors who have a legitimate need to know such information for purposes of this Agreement and who have been informed of the confidential nature of such information and are bound by confidentiality obligations at least as restrictive as those set forth herein, and promptly return or destroy all Confidential Information upon termination of this Agreement or upon request by the Disclosing Party.

11.3 Exceptions. The obligations set forth in Section 11.2 shall not apply to any Confidential Information that is or becomes generally publicly known or available through no breach of this Agreement by the Receiving Party, was rightfully known to the Receiving Party prior to disclosure by the Disclosing Party, is rightfully received by the Receiving Party from a third party without breach of any confidentiality obligation, is independently developed by the Receiving Party without use of or reference to the Confidential Information, or is required to be disclosed by applicable law, regulation, or court order, provided that the Receiving Party provides the Disclosing Party with prompt written notice of such requirement and cooperates with the Disclosing Party's efforts to seek a protective order or other appropriate protection.

11.4 Duration and Survival. The confidentiality obligations established in this Section 11 shall remain in full force and effect during the entire term of this Agreement and shall survive termination or expiration of this Agreement for a period of three (3) years thereafter.

12. DATA PROTECTION AND COMPANY DATA

‍

12.1 Compliance with Data Protection Laws. Both parties shall ensure full compliance with all applicable data protection and privacy laws, regulations, and requirements, including but not limited to the Federal Law for the Protection of Personal Data in Possession of Private Parties (Ley Federal de Protección de Datos Personales en Posesión de Particulares), its implementing regulations, and any other applicable federal, state, local, or international laws, regulations, directives, or requirements relating to the protection, privacy, security, breach notification, cross-border transfer, or processing of personal data, personally identifiable information, or the rights of data subjects (collectively, the "Data Protection Requirements").

‍

12.2 Data Processing Agreement. The parties agree that their respective rights, obligations, and responsibilities with regard to the processing of personal data in connection with the Services shall be governed by and subject to the terms and conditions of Yuno's Global Data Processing Agreement, which is incorporated herein by reference as Annex B and constitutes an integral part of this Agreement. For processing activities involving personal data originating from Mexico, the Mexico LFPDPPP Addendum (Addendum D) to the Data Processing Agreement shall apply and govern the parties' obligations regarding Mexican personal data protection requirements.

12.3 Company Data Rights and License. As between the parties and subject to the limited license grant set forth in this Section 12.3, Company owns and retains all right, title, and interest in and to all Company Data. During the term of this Agreement, Company hereby grants to Yuno a non-exclusive, royalty-free, worldwide, sublicensable (solely to Yuno's subcontractors and service providers for purposes of providing the Services) right and license to access, collect, use, process, store, transmit, modify, copy, display, and create derivative works of all Company Data solely in connection with and to the extent necessary for the provision of the Services to Company in accordance with this Agreement and the Data Processing Agreement. Company represents, warrants, and covenants that Company has obtained all rights, licenses, consents, permissions, and authorizations necessary to grant Yuno the rights set forth in this Agreement with respect to all Company Data, all Company Data has been collected, stored, transferred, processed, used, disclosed, and otherwise handled in full compliance with all applicable laws, regulations, and requirements, including without limitation all Data Protection Requirements, Company Data does not and will not infringe, violate, or misappropriate any third-party rights, including Intellectual Property Rights, privacy rights, or contractual rights, and Company Data does not and will not contain any viruses, malware, or other harmful or malicious code.

12.4 Yuno Analytics Data. Company acknowledges and agrees that Yuno may monitor, collect, use, and store anonymous, aggregated statistics and performance data about the use of the Services, transaction patterns, system performance metrics, and other non-personally identifiable information related to the provision of the Services (collectively, "Yuno Analytics Data"), which will be aggregated and anonymized such that it cannot identify Company or any specific individuals. Yuno may use Yuno Analytics Data for service improvement, research and development, industry benchmarking, regulatory reporting, and other business purposes. Company acknowledges that such aggregated and anonymized data does not constitute Company Data or Confidential Information of Company and may be retained and used by Yuno indefinitely.

13. TERM, TERMINATION, AND EFFECTS OF TERMINATION

‍

13.1 Term.  This Agreement shall commence on the Effective Date and shall remain in effect for the Subscription Term as specified in the applicable Order Form. Company may terminate this Agreement before the end of the initial Subscription Term or any subsequent renewal term by providing written notice to Yuno and paying, within thirty (30) calendar days after the termination date, all remaining monthly subscription fees for the balance of the then-current term. This Agreement shall automatically renew for successive periods equal to the duration of the initial Subscription Term, unless either party gives written notice of non-renewal at least sixty (60) days prior to the end of the then current Subscription Term.

13.2 Termination for Cause. Either party may terminate this Agreement for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of such breach. This Agreement shall be deemed terminated as of right regardless of judicial or extrajudicial notice, by the occurrence of any of the following events: establishment of notorious insolvency, bankruptcy, judicial or extrajudicial recovery, or by the dissolution or liquidation of either party. In addition, Yuno may suspend use of the Services without liability if Yuno determines that Company or any User is in breach of the Company Data Rights and License section or the Use Restrictions section, or Yuno is required by any applicable law to suspend the Services.

13.3 Effects of Termination. Upon expiration or termination of this Agreement, all rights and licenses granted to Company under this Agreement shall immediately terminate, and Company shall immediately pay to Yuno all amounts due for the period contracted for by Company. Notwithstanding anything to the contrary in this Agreement, the sections relating to Fees and Payment Terms, Effects of Termination, Mutual Indemnification, Aggregate Liability Cap, Confidentiality Obligations, Company Data Rights and License, Yuno Analytics Data, Use Restrictions, and General Provisions shall survive termination or expiration of this Agreement, and no refunds shall be made except for service credits as provided in the Service Level Agreement.

13.4 Unilateral Termination by Yuno. Yuno reserves the right to unilaterally terminate this Agreement at any time, without the need for justification, by providing written notice to Company at least ninety (90) days in advance. In the event of exercising this right, Yuno shall provide Company with service credits for the proportional part of the subscription fee corresponding to the unused period of the service, if any. The unilateral termination by Yuno shall not give rise to any right to compensation in favor of Company, beyond the aforementioned service credits.

14. DISPUTE RESOLUTION

‍

Any controversy or difference generated on the occasion of this Agreement or its execution, will be tried to be solved in the first instance by direct settlement between the parties. If thirty (30) calendar days after the dispute has arisen it has not been resolved, conciliation shall be attempted before any authorized conciliation center in Mexico City. If in this instance it is not possible to resolve the dispute, the parties will submit to the courts of ordinary jurisdiction in Mexico City. Company agrees that regardless of any law to the contrary, any claim or cause of action arising out of or related to use of the Services or this Agreement must be filed within one (1) year after such claim arose or be forever barred.

15. GENERAL PROVISIONS

‍

15.1 Enforceable Title. This Agreement contains clear, express and enforceable obligations and are therefore enforceable in favor of each of the parties.

‍

15.2 Partial Nullity and Non-Waiver of Rights. In the event that any provision of this Agreement is held to be void, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not be affected or limited in any way. The failure or delay of either party to exercise any of the powers or rights set forth in this Agreement, or to enforce them, shall not be construed as a waiver of such rights or powers or affect the validity in whole or in part of this Agreement, or the right of the respective party to subsequently exercise such powers or rights, except as otherwise provided by law or contract.

15.3 Assignment of Terms and Conditions. Company may not assign, in whole or in part, the performance of this Agreement to a third party, nor the obligations and rights arising therefrom. However, Yuno may assign its rights and obligations under this Agreement to another entity within its corporate group, whether an affiliate or subsidiary provided that advance written notice is given to the Company.

15.4 Entire Agreement. This Agreement represent the entire agreement of the parties hereto and supersede any oral or written agreement, express or implied, which exists or may exist between them with respect to the subject matter of this Agreement.

‍

15.5 Taxes. Except as specifically agreed in this Agreement, each party shall be responsible for the payment of any taxes imposed on it by applicable law in connection with the execution and performance of this Agreement.

‍

15.6 Availability, Security and Stability. Yuno does not guarantee the availability or uptime of the API or its Services. In the event of instability or major technical inconveniences, Yuno shall have no liability to Company, but will use its best efforts to stabilize its operability and will provide the corresponding service credits that apply in accordance with what is set forth in the Service Level Agreement.

15.7 Declaration of Origin of Funds and Financing of Terrorism. The company declares that its income comes from lawful activities, which are not included in lists for the control of money laundering and terrorist financing, administered by any national or foreign authority, and that consequently it is obliged to respond for all damages that it may cause as a result of this statement. Accordingly, Yuno may deprive Company of the use of the Services in the event that Company is included in the list of the Office of Foreign Assets Control - OFAC issued by the Office of the Treasury of the United States of America, the list of the United Nations and other public lists related to money laundering and terrorist financing or serious criminal offences.

15.8 Business Ethics and Anti-Corruption. Company undertakes to implement internal control mechanisms to prevent acts of corruption and agrees not to receive or offer, directly or indirectly, from and to employees, managers, or subordinates of Yuno any sums of money, objects of pecuniary value, or other benefits in exchange for performing, omitting, or delaying any act related to the exercise of functions. The company represents and warrants that it will comply with applicable anti-corruption laws including the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act, and other national and international regulations relating to the prevention of fraud, bribery, corruption, money laundering and terrorism. The company declares that neither it nor its officers, employees, directors, managers or subcontractors are subject to investigations or processes related to violation of anti-corruption regulations. Any breach of anti-corruption obligations constitutes a violation of this Agreement and gives Yuno the right to terminate the Services immediately. The company agrees to notify Yuno within twenty-four (24) hours of any investigation, proceeding, or sanction initiated against it or its representatives related to anti-corruption matters.

15.9 Payments for Tangible or Intangible Benefits. The parties agree that they shall not be obligated to pay any sum of money to the other party for any tangible or intangible benefits that they acquire by virtue of the use of the Services that is not expressly defined in this Agreement or in any Order Form between the parties. Yuno reserves the right to terminate the Agreement immediately if the Company breaches anti-corruption obligations, as per applicable laws, without the need for judicial declaration.

15.10 Governing Law and Contractual Domicile. For the interpretation and fulfillment of this Agreement, the parties submit to the provisions of the Civil Code for the Federal District (now Mexico City) and supplementarily the Federal Civil Code and the competent courts of Mexico City. For all legal purposes the contractual domicile shall be Mexico City.

15.11. Amendments and Updates. Yuno reserves the right to modify or update these Terms and Conditions at any time to reflect changes in applicable law, regulatory requirements, technological developments, or internal policies. The updated version shall be published on Yuno’s official website and shall become effective on the date of its publication. The Company’s continued use of the Services after the effective date of any update shall constitute acceptance of the revised Terms and Conditions. Upon request, Yuno shall provide the Company with a copy or record of previous versions of the Terms and Conditions for reference or compliance purposes.

15.12. ONBOARDING. Company must complete Yuno's compliance requirements, including KYC and AML verifications. Access to Yuno's services requires Yuno's approval of submitted documentation. For pre-onboarding services, Company must fulfill all requirements within thirty (30) days of the Effective Date or risk immediate termination without notice or indemnification. Company shall promptly notify Yuno of significant business changes. Yuno reserves the right to conduct additional compliance reviews as needed or required by regulations. Company agrees to cooperate with all compliance assessments

RECITALS

SMART ROUTING PTE. LTD. (hereinafter "Yuno") is a company incorporated under Singaporean law, having its registered office at 1 RAFFLES PLACE #34-04, ONE RAFFLES PLACE, SINGAPORE (048616). For all purposes of this Agreement (hereinafter "Terms and Conditions"), Yuno operates Yuno's cloud-based payment-orchestration platform and any related technology, including dashboards, application programming interfaces, software-development kits, and the professional or technical support services provided by Yuno. Through the Services, Companies can access multiple payment methods, fraud-prevention tools, and other integrated payment-industry solutions (hereinafter collectively referred to as the "Services").

The Company (hereinafter the "Company") shall be the individual or legal entity that, through an Order Form, contracts and acquires the Services provided by Yuno.

These Terms and Conditions, together with any applicable Order Form executed by the parties and the schedules and annexes referenced herein, constitute the complete agreement between Yuno and Company (the "Agreement"). References to "this Agreement" throughout these Terms and Conditions refer to the entire contractual framework, while references to "these Terms and Conditions" refer specifically to this document. In the event of any conflict between these Terms and Conditions and an Order Form, the Order Form shall prevail.

DEFINITIONS

For purposes of this Agreement, the following terms shall have the meanings set forth below:

"Affiliate" means, with respect to any party, any entity that directly or indirectly controls, is controlled by, or is under common control with such party, where "control" means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such entity, whether through ownership of voting securities, by contract, or otherwise.

"Agreement" means this Agreement, together with any applicable Order Forms, Service Level Agreement, Data Processing Agreement, and all exhibits, Annexes, or other documents incorporated herein by reference, as each may be amended, modified, or supplemented from time to time in accordance with the terms hereof.

"API" means Yuno's application programming interfaces that enable Company to access, integrate with, and use the Services, including all related documentation, software development kits, and technical specifications.

"Company Data" means all electronic data, information, content, materials, or other intellectual property submitted, uploaded, transmitted, or otherwise provided by Company to Yuno in connection with Company's use of the Services.

"Confidential Information" means any and all technical, commercial, financial, strategic, legal, operational, or other proprietary information related to either party's business operations, plans, strategies, customers, suppliers, partners, or affairs, whether disclosed orally, in writing, electronically, or by any other means, and whether or not marked as confidential.

"Company" means the individual or legal entity that enters into an Order Form with Yuno to acquire and use the Services provided by Yuno.

"Data Processing Agreement" means Yuno's Global Data Processing Agreement that governs the processing of personal data in accordance with applicable privacy and data protection laws, attached as Annex B and incorporated herein by reference.

"Documentation" means all user guides, technical manuals, operational procedures, API documentation, integration guides, and other written or electronic materials provided by Yuno that describe the installation, configuration, operation, use, or technical specifications of the Services.

"Effective Date" means the effective date as specified in the relevant Order Form.

"Force Majeure Event" means any cause, condition, or event beyond the reasonable control of the affected party, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, regulatory changes, failures or disruptions of telecommunications networks, internet service providers, or other third-party services.

"Intellectual Property Rights" means all intellectual property rights of any kind anywhere in the world, including but not limited to patents, copyrights, trademarks, trade secrets, know-how, and any applications, registrations, renewals, or extensions thereof.

“Monthly Platform Fee” means the fixed subscription fee payable by the Company to Yuno on a monthly basis, which includes many active users (with an additional charge per extra user per month), unlimited connections and tokens, full access to all Yuno connections available at the time, and support services.

"Order Form" means a written agreement, order form, statement of work, or similar document executed by both parties that references and incorporates this Agreement and specifies the particular Services to be provided, applicable fees, payment terms, service levels, and other commercial or technical terms specific to such Services.

"Service Level Agreement" or "SLA" means the service level commitments, availability targets, performance standards, measurement methodologies, remedies, and related terms applicable to the Services as set forth in Annex A attached hereto and incorporated herein by reference.

"Services" means Yuno's cloud-based payment-orchestration platform and any related technology, including but not limited to dashboards, application programming interfaces, software-development kits, integration tools, and the professional or technical support services provided by Yuno. Through the Services, Companies can access multiple payment methods, fraud-prevention tools, and other integrated payment-industry solutions.

"Subscription Fees" means all fees, charges, and other amounts payable by Company to Yuno for the Services as specified in the applicable Order Form.

"Subscription Term" means each period during which Services are provided to Company, as specified in the applicable Order Form, including the initial term and any renewal periods.

“Transaction Fee - Account Updater” means a fee charged for each update using the automatic card data update service provided by the card schemes, which supplies updated card information such as account number changes, expiration dates, closed account notifications, and recommendations to contact cardholders. The card schemes may unilaterally adjust the prices applicable to this service at any time, without prior notice. In such a case, Yuno shall immediately and thoroughly pass through the adjusted prices to the Company, and shall not apply any mark-up or surcharge to the amounts so stipulated.

“Transaction Fee - Chargeback Alerts” means  (a) Ethoca Service (Mastercard). A fee charged for the use of the Ethoca service, an information-sharing solution among card issuers, merchants, and acquirers designed to mitigate risks of fraudulent transactions and disputes (chargebacks). Integration with the Ethoca platform grants the Merchant near real-time access to alerts of potentially disputed transactions, enabling preventive measures such as order cancellation or suspension of goods/services delivery. The service aims to reduce financial losses, improve reconciliation processes, and increase efficiency in fraud and dispute management. The applicable fee per alert shall apply to Merchants not classified as high-risk. For this Agreement, high-risk merchants are those classified under the following Merchant Category Codes (MCCs): 4816, 5122, 5816, 5912, 5962, 5966, 5967, 5993, 6051, 7273, and 7995. For such high-risk merchants, the fee shall may be governed by this clause and may be subject to negotiation between the Parties through a specific contractual amendment. (b) Verifi Service (Visa). A fee charged for the use of the Verifi service, which aims to prevent chargebacks through real-time information sharing between card issuers and merchants. This solution provides the Merchant with early alerts of disputes before the chargeback is effected, allowing corrective measures such as proactive refunds or suspension of goods/services delivery. The service is intended to reduce financial losses, increase amicable resolution rates, and improve the end-customer experience.

“Transaction Fee - Fraud Prevention” means a fee charged for each successful API call made to Yuno’s Partner anti-fraud platform, regardless of whether the fraud engine accepts or rejects the transaction. It considers the statuses “Validation Successful” and/or “Evaluation without decision”.

“Transaction Fee - Monitoring” means a fee charged for the fraud risk monitoring service provided by the Contractor, which supervises transactions and related events. This service sends alerts to the Client whenever suspicious or anomalous transaction patterns are detected.

“Transaction Fee - Network Token” means a fee charged for each token-related event generated by Yuno in connection with enabling payments or transactions through the card schemes. For purposes of clarity, such fee shall apply both to (i) the initial generation of a network token, and (ii) any subsequent lifecycle management events, including but not limited to updates, replacements, re-provisioning, or other modifications required by the card schemes. Each token generation and each lifecycle update shall be deemed a separate transaction for billing purposes.

“Transaction Fee - Payment” means a fee charged for each transaction in which the payment, pay-out, refund, or validation is successfully completed through the Yuno Platform. For purposes of clarity, a transaction shall be deemed successfully completed when it reaches a final status of “Authorization Successful,” “Payment successfully processed under the applicable purchase methodology,” or “Refund processed successfully.”. For the avoidance of doubt, Yuno shall be entitled to charge Transaction Fees for both verifications, successful payment (payin or payout) transactions and successful refund transactions.

“Transaction Fee - Risk Conditions” means a fee charged for each transaction that is evaluated against predefined risk rules or lists established by Yuno (including, by way of example, “Block List” or “White List”), where a transaction presents risk characteristics, including but not limited to high fraud risk or anomalies in user behavior. Such evaluation may result in one of the following outcomes: “allow,” “block,” or “review.” A fee shall be charged for every transaction that results in any of these outcomes, irrespective of whether the transaction is subsequently completed, declined, or held for further verification.

“Transaction Fee - Smart Routing” means a fee charged for the use of Yuno’s proprietary routing technology that dynamically directs transactions to the most efficient or cost-effective acquiring network or payment channel based on operational parameters, success rates, and cost optimization logic.

“Transaction Fee - 3DS” means a fee applied to each transaction that undergoes authentication through the EMV 3-D Secure (3DS) protocol within Yuno’s infrastructure. For billing purposes, one (1) 3DS Transaction shall be counted when any of the following events occur: (i) a Versioning Request with its corresponding response is processed; (ii) an Authentication Request is processed without a prior Versioning Request; or (iii) a Verify Enrollment Request is processed under 3DS 1.0. If a Versioning Request and an Authentication Request are part of the same flow for the same cardholder, they shall be counted together as one (1) single 3DS Transaction. For the avoidance of doubt, a 3DS Transaction refers exclusively to authentication processes executed and completed within Yuno’s 3DS environment, and does not include any separate or external 3DS API requests made to third-party servers as described in the definition of “Transaction Fee – External 3DS API Call.”.

“Transaction Fee - External 3DS API Call” means a fee charged per individual API request initiated through Yuno’s platform and directed to an external 3-D Secure (3DS) server (including, without limitation, Access Control Servers (ACS), Directory Servers, or any third-party authentication endpoints) for purposes of authentication, versioning, or verification, regardless of the outcome or whether such request results in a successfully authenticated 3DS Transaction. Each external 3DS API request shall be billed as a separate and independent event. For clarity, External 3DS API Calls are distinct from 3DS Transactions and are not cumulatively charged where the same request results in a single 3DS Transaction processed within Yuno’s environment.

"Trial Period" means any period during which Services are provided to Company on a trial, evaluation, pilot, or demonstration basis at no charge, as specified in the applicable Order Form.

"User" means any individual person who is authorized by Company to access or use the Services under Company's account.

1. SERVICES AND PLATFORM ACCESS

1.1 Service Provision. Subject to the terms and conditions of this Agreement, Yuno shall provide Company with access to Yuno's cloud-based payment orchestration platform and related Services as described in each Order Form for use by Company and its authorized Users. Each Order Form shall set forth the specific nature, scope, and configuration of the payment infrastructure services and platform capabilities that have been selected and purchased by Company, whether the Services will be provided on a trial basis and the duration of such Trial Period if applicable, the Subscription Term during which the Services will be provided, the service level standards and commitments as described in the Service Level Agreement, the Subscription Fees applicable to such Services, payment terms and conditions, any usage limitations, technical requirements, or special terms applicable to the Services, and any other commercial, technical, or legal terms specific to such Services. In the event of any conflict or inconsistency between the terms and conditions set forth in an Order Form and these Terms and Conditions, the Order Form shall govern. Company acknowledges and agrees that it shall be solely responsible and liable for all acts, omissions, negligence, misconduct, or breaches by Company or any User in connection with the access to or use of the Services.

1.2 API Access and Integration. Yuno shall use commercially reasonable efforts to promptly provide Company with access to Yuno's application programming interfaces, software development kits, integration tools, and related Documentation. Yuno shall host, maintain, and operate the API infrastructure, and Company shall access such APIs through the Services in accordance with the terms of this Agreement and the applicable Documentation. Company expressly acknowledges and agrees that the API and all functionality, features, and capabilities of the API are available solely through the Services and are not available as standalone products or services, the API is not licensed or provided separately from the Services under any circumstances, all access to and use of the API is subject to the terms and conditions of this Agreement and the applicable Service Level Agreement, and Company shall not access, use, or attempt to access or use the API separately from or independently of the Services.

2. SERVICE LEVEL AGREEMENT

Yuno shall use commercially reasonable efforts to comply with and meet the service level standards, availability commitments, performance targets, and other service level requirements described in the Service Level Agreement set forth in Annex A, which is attached hereto and incorporated into this Agreement by reference as an integral part of this Agreement. The Service Level Agreement includes specific availability commitments and uptime targets for the Services, performance standards and response time requirements, measurement methodologies and calculation procedures, service credits and remedies for failure to meet service level commitments, exclusions and limitations, escalation procedures and communication protocols, maintenance windows and Annexd downtime, and procedures for reporting, tracking, and resolving service level issues and disputes. Customer acknowledges that the service credits set forth in the Service Level Agreement constitute Company's sole and exclusive remedy for any failure by Yuno to meet the applicable service level commitments.

3. ACCOUNT SECURITY AND USAGE REQUIREMENTS

Company shall be solely responsible for maintaining the confidentiality, security, and integrity of all passwords, user credentials, authentication tokens, API keys, access codes, and other login information applicable to Company's account and Users (collectively, "Account Credentials"). Company agrees and acknowledges that Yuno shall have no responsibility or liability whatsoever with respect to any unauthorized access to or use of Company's account or the Services resulting from Company's failure to adequately protect or secure Account Credentials. Company expressly acknowledges and agrees that Account Credentials are personal to each User and shall not be shared, disclosed, or otherwise made available to any unauthorized persons. Company shall implement and maintain appropriate administrative, technical, and physical safeguards to protect Account Credentials from unauthorized access, use, or disclosure, ensure that all Users comply with reasonable security practices and procedures, monitor all account activity and access to the Services, immediately notify Yuno in writing if Company has reason to believe that the security of Company's account has been compromised, that any Account Credentials have been lost, stolen, or otherwise compromised, or that any unauthorized person has gained access to Company's account or any of the Services, and cooperate fully with Yuno in investigating any suspected security incidents or breaches.

4. FEES, PAYMENT TERMS, AND TAX OBLIGATIONS

4.1 Subscription Fees and Payment Obligations. Company shall pay to Yuno all Subscription Fees and other charges in accordance with the payment terms, schedules, and conditions set forth in the applicable Order Form. Company may activate Additional Services through the Services, and upon such activation, Yuno will charge Company for the Additional Services in accordance with the pricing set forth in Annex C (Additional Services Price List), which is attached hereto and incorporated herein by reference. The Subscription Fees do not include any applicable taxes, duties, levies, tariffs, or other governmental charges, which shall be charged separately and in addition to the Subscription Fees as provided herein. Except as otherwise expressly set forth in the applicable Order Form, Yuno shall invoice Company for Subscription Fees in arrears on a monthly basis for the preceding month's Services. Company shall pay all amounts invoiced by Yuno within thirty (30) days after the date of such invoice, and all payments shall be made in the currency specified in the applicable Order Form payable via bank transfer to a bank account in Singapore or such other account as Yuno may designate in immediately available funds to a bank account designated by Yuno in writing. All Subscription Fees and other amounts payable hereunder are non-refundable and non-cancellable except as expressly provided in this Agreement.

4.2 Late Payment, Interest, and Collection Costs. In the event that Company fails to pay any amount when due under this Agreement, such unpaid amount shall bear interest at the rate of one and one-half percent (1.5%) per month, or the highest rate permitted by applicable law, whichever is lower, calculated from the original due date of such amount until the date of payment in full thereof. Company shall be liable for and shall pay all sales, use, goods and services tax (GST) and any other applicable taxes imposed by the Inland Revenue Authority of Singapore (IRAS) and other similar taxes, duties, levies, assessments, or charges of any nature whatsoever imposed by any governmental authority on or with respect to the Subscription Fees and other charges applicable to the provision of the Services, excluding only taxes based solely on Yuno's gross or net income, revenues, or profits.

4.2.1 If the Company fails to pay any invoiced amount within thirty (30) calendar days after its due date, Yuno may suspend access to the Services and the API until all outstanding amounts (including accrued interest and applicable taxes) have been paid in full. If the payment default persists, Yuno shall have the right, at its sole discretion and without further notice, to terminate this Agreement for cause, and all amounts remaining under the current Subscription Term shall become immediately due and payable. Suspension or termination under this Section shall not relieve the Company from its obligation to pay all outstanding fees, interest, or charges accrued prior to such suspension or termination, nor shall it entitle the Company to any service credits, refunds, or compensation of any kind.

4.2.2 In the event that the Company fails to pay any invoiced amount when due, Yuno may, without prejudice to any other rights or remedies under this Agreement or applicable law: (a) refer the outstanding debt to commercial debt collection agencies or legal counsel for recovery; and (c) initiate summary judgment proceedings or other expedited legal recovery actions under Singapore law, it being expressly agreed that this Agreement and the invoices issued hereunder constitute conclusive evidence of debt and may be used to support a summary claim. The Company shall be liable for all reasonable costs, expenses, and legal fees incurred by Yuno in connection with such recovery proceedings..

4.3 Tax Responsibilities. All amounts payable to Yuno under this Agreement shall be paid free and clear of all taxes, deductions, and withholdings. Each party shall be responsible for paying any taxes imposed on it by applicable law in connection with this Agreement and the Services.

4.4 Fee Modifications and Service Credits. Yuno shall not be obligated to issue any refunds or reimbursements for Subscription Fees or other amounts paid by Company, except for service credits as expressly provided in the Service Level Agreement. Upon automatic renewal of any Subscription Term, Yuno may increase Subscription Fees by up to eight percent (8%) with the prior written agreement of the Company. For any price changes during a current Subscription Term Yuno shall provide Company with at least sixty (60) days' prior written notice of such pricing changes, and Company must accept such changes in writing for them to become effective.

4.5 Know Your Customer and Due Diligence. Company shall provide and maintain current, accurate, and complete information regarding its beneficial ownership, business activities, funding sources, and regulatory status. Yuno may apply enhanced due diligence measures for PEPs, high-risk jurisdictions, or elevated-risk business models.

5. REPRESENTATIONS, WARRANTIES, AND ACCEPTANCE

The individual executing this Agreement on behalf of Company represents and warrants that he or she has full corporate power, authority, and legal capacity to represent, bind, and commit Company to compliance with all terms and conditions of this Agreement, and that the execution, delivery, and performance of this Agreement by such individual has been duly authorized by all necessary corporate or other organizational action on the part of Company. The execution, delivery, and performance of this Agreement have been duly authorized under the Companies Act 1967 (Singapore).

6. LIABILITY, INDEMNIFICATION, AND RISK ALLOCATION

6.1 Company Liability and Responsibility. Company shall be entirely and exclusively responsible for the payment of all salaries, wages, benefits, and other compensation to its employees, as well as the payment and satisfaction of all obligations to its contractors, consultants, and other service providers, any and all damage, loss, injury, liability, or harm that its actions, omissions, negligence, or misconduct, or those of its employees, agents, contractors, or other representatives, may cause to any third parties, any and all breaches of its obligations, duties, or responsibilities under this Agreement or any applicable Order Form, ensuring that all Company Data complies with applicable laws and does not infringe any third-party rights, and obtaining all necessary rights, consents, and authorizations with respect to Company Data and Company's use of the Services.

6.2 Mutual Limitation of Damages. Except with respect to breaches of the Use Restrictions or Confidentiality sections, the infringement, misappropriation, or violation of any Intellectual Property Rights of either party, or either party's indemnification obligations as set forth in the Indemnification section, neither party shall be liable to the other party for any lost profits, lost revenues, lost savings, loss of business opportunities, or any indirect, special, incidental, reliance, punitive, exemplary, or consequential damages of any kind or nature whatsoever, regardless of the form of action or legal theory, whether arising in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether such party has been advised of the possibility of such damages in advance.

6.3 Aggregate Liability Cap. Except with respect to breaches of the Confidentiality section, the infringement, misappropriation, or violation of any Intellectual Property Rights of either party, or the indemnification obligations of either party as set forth in the Mutual Indemnification section, the aggregate liability of each party to the other party for all claims, losses, damages, and expenses arising out of or in connection with this Agreement shall not exceed the total amount of Subscription Fees actually paid by Company to Yuno during the twelve (12) month period immediately preceding the date on which the claim giving rise to such liability first arose. Notwithstanding any provision to the contrary in this Agreement, the sole and exclusive remedy available to Company for any breach of the Service Level Agreement are the service credits provided under such Service Level Agreement, and Yuno shall not be liable for any disclosure, unauthorized access, unauthorized use, loss, theft, or breach of any Company Data or other data or information, except to the extent such disclosure, access, use, loss, theft, or breach results directly from Yuno's gross negligence or willful misconduct.

6.4 Mutual Indemnification. Yuno shall, at its own cost and expense, defend Company, its Affiliates, and their respective directors, officers, employees, consultants, contractors, and agents (collectively, "Company Indemnified Parties") against any and all third-party claims, actions, suits, proceedings, or demands, and shall indemnify and hold harmless the Company Indemnified Parties from and against any and all related losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) resulting from or arising in connection with any actual or alleged breach of this Agreement by Yuno, any actual or alleged infringement, misappropriation, or violation of any third-party Intellectual Property Rights by the Services (excluding any modifications made by Company), any gross negligence or willful misconduct by Yuno in connection with the provision of the Services, or any violation of applicable laws, rules, or regulations by Yuno or any person or entity acting on Yuno's behalf.

Company shall, at its own cost and expense, defend Yuno, its Affiliates, and their respective directors, officers, employees, consultants, contractors, and agents (collectively, "Yuno Indemnified Parties") from and against any and all third-party claims, actions, suits, proceedings, or demands, and shall indemnify and hold harmless the Yuno Indemnified Parties from and against any and all related losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) resulting from or arising in connection with any actual or alleged breach of this Agreement by Company, any actual or alleged infringement, misappropriation, or violation of any third-party Intellectual Property Rights by Company Data or Company's use of the Services, any gross negligence or willful misconduct by Company or any User in connection with the use of the Services, or any violation of applicable laws, rules, or regulations by Company or any person or entity acting on Company's behalf.

The indemnification obligations of each party under this section are expressly conditioned upon the indemnified party providing prompt written notice to the indemnifying party upon becoming aware of any claim subject to indemnification, granting the indemnifying party sole control over the defense and settlement of such claim, and providing reasonable cooperation and assistance to the indemnifying party in the defense or settlement of such claim at the indemnifying party's expense.

7. INTELLECTUAL PROPERTY RIGHTS AND OWNERSHIP

Except as expressly provided herein, nothing contained in this Agreement shall be deemed or construed as transferring, assigning, conveying, or granting, in whole or in part, any Intellectual Property Rights or other proprietary rights from one Party to the other. Under no circumstances shall this Agreement be interpreted or understood as effecting any transfer of title, ownership, or proprietary interest in any technology, software, systems, platforms, tools, methods, processes, know-how, trade secrets, databases, or other intellectual property assets owned, developed, or licensed by Yuno, its parent companies, subsidiaries, Affiliates, or related entities.

It is expressly understood and agreed that Yuno is and shall remain the sole and exclusive owner of all rights, titles, and interests in and to the Services, including, without limitation, the Platform, the APIs, the underlying technology, software, systems, infrastructure, modules, algorithms, tools, source code, interfaces, databases, data flows, analytical models, and all related Intellectual Property Rights, encompassing copyrights, software rights, patents, trademarks, trade secrets, domain names, and any other form of protection under applicable Brazilian law and international treaties.

The Company acknowledges and agrees that its rights with respect to the Services are strictly limited to those expressly granted under this Agreement and that no additional rights, whether by implication, estoppel, or otherwise, are conferred to the Company. The Company shall not, without Yuno’s prior written authorization, copy, reproduce, translate, adapt, modify, reverse engineer, disassemble, decompile, disclose, sublicense, or otherwise use Yuno’s technology beyond the authorized scope set forth herein. The Company further represents and warrants that it shall not claim, directly or indirectly, any right of ownership, authorship, derivative creation, registration, or protection over the Platform, the APIs, the “Yuno” brand, or any elements related to the Services. Any developments, enhancements, bug fixes, customizations, integrations, or improvements made by Yuno, even if based on Company’s suggestions or feedback, shall be deemed exclusive property of Yuno, and the Company shall not acquire any ownership rights, financial compensation, or credit arising therefrom.

Without prejudice to the foregoing, the Company hereby expressly authorizes Yuno to use the Company’s corporate name, trade name, trademarks, logos, distinctive signs, and visual identity elements on Yuno’s official website, promotional materials, corporate presentations, customer lists, case studies, marketing campaigns, and business communications, solely for the purpose of identifying the Company as a Yuno client and describing its use of the Services, provided that such use respects good commercial practices and does not harm the Company’s reputation. This authorization is granted on a non-exclusive, royalty-free, and revocable basis upon written notice, and does not imply any assignment or reciprocal license of trademark rights. Any use of brands, trade names, logos, marketing materials, joint promotional actions, or co-branded initiatives between the Parties shall require prior express written approval of the Party holding the respective rights. Yuno, in turn, undertakes to fully respect the Company’s intellectual property rights, refraining from using or reproducing its distinctive elements in a manner that could cause confusion, improper association, or harm to its image, goodwill, or market reputation. Except as expressly set forth in this Agreement, nothing contained herein shall be deemed or construed to effect any transfer, assignment, conveyance, or grant of any Intellectual Property Rights or other proprietary rights from one party to the other party. Under no circumstances shall this Agreement be interpreted, construed, or understood as effecting any transfer of title, ownership, or other proprietary interest in any technology, software, systems, platforms, tools, methods, processes, know-how, trade secrets, or other intellectual property owned, developed, or licensed by Yuno Tecnologías S.A.P.I. de C.V., its parent companies, subsidiaries, Affiliates, or related entities. It is expressly understood and agreed that Yuno is and shall remain the sole and exclusive owner of all right, title, and interest in and to the Services, the API, all underlying technology, software, systems, platforms, infrastructure, tools, methods, processes, algorithms, and all related Intellectual Property Rights. Company acknowledges and agrees that its rights with respect to the Services are limited to those expressly granted in this Agreement, and that no additional rights are granted by implication, estoppel, or otherwise.

Notwithstanding any provision to the contrary in this Agreement, Company hereby authorizes and grants permission to Yuno to use Company's name, trade names, trademarks, service marks, logos, and other identifying marks and materials on Yuno's website, in marketing and promotional materials, in customer lists and case studies, and in other business communications for the purpose of identifying Company as a customer of Yuno and describing Company's use of the Services.

8. INDEPENDENT CONTRACTOR RELATIONSHIP

Company and Yuno are and shall remain independent contractors with respect to each other, and nothing contained in this Agreement is intended to create, establish, or constitute any partnership, joint venture, association, syndicate, agency, franchise, or employment relationship between the parties. Neither party shall have any right, power, or authority to bind, obligate, or commit the other party in any manner whatsoever to any third party. In furtherance of the foregoing, each party shall fulfill and discharge its respective obligations to third parties, including but not limited to all labor, employment, social security, tax, and other legal obligations, entirely independently of the other party.

9. FORCE MAJEURE

Neither party shall be deemed to be in breach of this Agreement or otherwise liable for any delay in performance or non-performance of any of its obligations under this Agreement to the extent that such delay or non-performance results directly or indirectly from any Force Majeure Event. For purposes of this Agreement, a "Force Majeure Event" shall mean any cause, condition, circumstance, or event beyond the reasonable control of the affected party that could not reasonably have been foreseen at the time of execution of this Agreement or, if foreseen, could not reasonably have been avoided, and that occurs after the execution of this Agreement and prevents, delays, or materially hinders the performance of such party's obligations hereunder. The party affected by a Force Majeure Event shall promptly notify the other party in writing of the occurrence of such event and shall use commercially reasonable efforts to mitigate the effects thereof and to resume performance of its obligations as soon as reasonably practicable.

10. USE RESTRICTIONS AND PROHIBITED ACTIVITIES

Except as expressly authorized by this Agreement or with the prior written consent of Yuno, Company shall not, and shall not permit any User or third party to: modify, alter, tamper with, repair, disclose, translate, or create any derivative works based upon the Services or any component, feature, function, or element thereof; license, sublicense, sell, resell, distribute, redistribute, lease, rent, lend, transfer, assign, or otherwise dispose of or make available the Services or any component thereof to any third party; use the Services to store, transmit, or distribute any viruses, worms, time bombs, trojan horses, malware, spyware, or other malicious or harmful software routines or code designed to permit unauthorized access to, or to disable, erase, or otherwise damage or modify any software, hardware, data, or systems; copy, reproduce, frame, mirror, republish, download, display, transmit, or distribute any part or content of the Services; build, develop, or offer any competing product or service, or copy, imitate, or reverse engineer any features, functions, or capabilities of the Services; interfere with, disrupt, or attempt to interfere with or disrupt the integrity, security, or performance of the Services or any data contained therein; attempt to gain unauthorized access to the Services, Company accounts other than Company's own account, or any systems or networks connected to the Services; disclose to any third party any information, data, reports, analyses, or performance benchmarks related to the Services without Yuno's prior written consent; remove, alter, cover, or obscure any proprietary notices, labels, or marks on or within the Services, including but not limited to copyright notices, trademark notices, patent notices, or confidentiality legends; disclose, share, or make available to any third party any passwords, authentication credentials, API keys, or other access information that Yuno has provided to Company or any Users; create, generate, or retain any copies of any content accessed through the Services, except as may be necessary to print or download insubstantial amounts of such content solely in connection with Company's authorized use of the Services; reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive, determine, or gain access to the source code, underlying algorithms, file formats, programming interfaces, or architectural structure of the Services or any component thereof; circumvent, disable, or otherwise interfere with any security-related features or technological protection measures implemented in or by the Services that are intended to prevent or restrict access to or use of any features or functionality of the Services; impose or attempt to impose any unreasonable or disproportionately large burden or load on the Services or any systems or networks connected thereto; use the Services for any purpose that is unlawful, illegal, fraudulent, harmful, or that advocates, promotes, incites, or instructs others to engage in illegal activity or conduct that would violate applicable laws or regulations; or cause, encourage, enable, instruct, or permit any third party to do any of the foregoing prohibited activities.

11. CONFIDENTIALITY OBLIGATIONS

11.1 Definition and Scope. For purposes of this Agreement, "Confidential Information" shall mean any and all technical, commercial, financial, strategic, legal, operational, marketing, business, or other proprietary information and data relating to either party's business operations, activities, plans, strategies, methods, processes, know-how, trade secrets, customers, suppliers, partners, financial condition, or other affairs, whether disclosed orally, in writing, electronically, visually, or by any other means of communication, and whether or not marked, designated, or otherwise identified as confidential, that is disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") in connection with this Agreement or the relationship between the parties.

11.2 Confidentiality Obligations. The Receiving Party shall maintain the confidentiality of all Confidential Information using the same degree of care that it uses to protect its own confidential information, but in no event less than reasonable care, not disclose, reveal, divulge, or make available any Confidential Information to any third parties without the prior written consent of the Disclosing Party, not use any Confidential Information for any purpose other than as necessary to perform its obligations or exercise its rights under this Agreement, limit access to Confidential Information to those of its employees, agents, contractors, and advisors who have a legitimate need to know such information for purposes of this Agreement and who have been informed of the confidential nature of such information and are bound by confidentiality obligations at least as restrictive as those set forth herein, and promptly return or destroy all Confidential Information upon termination of this Agreement or upon request by the Disclosing Party.

11.3 Exceptions. The obligations set forth in Section 11.2 shall not apply to any Confidential Information that is or becomes generally publicly known or available through no breach of this Agreement by the Receiving Party, was rightfully known to the Receiving Party prior to disclosure by the Disclosing Party, is rightfully received by the Receiving Party from a third party without breach of any confidentiality obligation, is independently developed by the Receiving Party without use of or reference to the Confidential Information, or is required to be disclosed by applicable law, regulation, or court order, provided that the Receiving Party provides the Disclosing Party with prompt written notice of such requirement and cooperates with the Disclosing Party's efforts to seek a protective order or other appropriate protection.

11.4 Duration and Survival. The confidentiality obligations established in this Section 11 shall remain in full force and effect during the entire term of this Agreement and shall survive termination or expiration of this Agreement for a period of three (3) years thereafter.

12. DATA PROTECTION AND COMPANY DATA

12.1 Compliance with Data Protection Laws. Both parties shall ensure full compliance with all applicable data protection and privacy laws, regulations, and requirements, including but not limited to the Federal Law for the Protection of Personal Data in Possession of Private Parties (Ley Federal de Protección de Datos Personales en Posesión de Particulares), its implementing regulations, and any other applicable federal, state, local, or international laws, regulations, directives, or requirements relating to the protection, privacy, security, breach notification, cross-border transfer, or processing of personal data, personally identifiable information, or the rights of data subjects (collectively, the "Data Protection Requirements").

12.2 Data Processing Agreement. The parties agree that their respective rights, obligations, and responsibilities with regard to the processing of personal data in connection with the Services shall be governed by and subject to the terms and conditions of Yuno's Global Data Processing Agreement, which is incorporated herein by reference as Annex B and constitutes an integral part of this Agreement.

12.3 Company Data Rights and License. As between the parties and subject to the limited license grant set forth in this Section 12.3, Company owns and retains all right, title, and interest in and to all Company Data. During the term of this Agreement, Company hereby grants to Yuno a non-exclusive, royalty-free, worldwide, sublicensable (solely to Yuno's subcontractors and service providers for purposes of providing the Services) right and license to access, collect, use, process, store, transmit, modify, copy, display, and create derivative works of all Company Data solely in connection with and to the extent necessary for the provision of the Services to Company in accordance with this Agreement and the Data Processing Agreement. Company represents, warrants, and covenants that Company has obtained all rights, licenses, consents, permissions, and authorizations necessary to grant Yuno the rights set forth in this Agreement with respect to all Company Data, all Company Data has been collected, stored, transferred, processed, used, disclosed, and otherwise handled in full compliance with all applicable laws, regulations, and requirements, including without limitation all Data Protection Requirements, Company Data does not and will not infringe, violate, or misappropriate any third-party rights, including Intellectual Property Rights, privacy rights, or contractual rights, and Company Data does not and will not contain any viruses, malware, or other harmful or malicious code.

12.4 Yuno Analytics Data. Company acknowledges and agrees that Yuno may monitor, collect, use, and store anonymous, aggregated statistics and performance data about the use of the Services, transaction patterns, system performance metrics, and other non-personally identifiable information related to the provision of the Services (collectively, "Yuno Analytics Data"), which will be aggregated and anonymized such that it cannot identify Company or any specific individuals. Yuno may use Yuno Analytics Data for service improvement, research and development, industry benchmarking, regulatory reporting, and other business purposes. Company acknowledges that such aggregated and anonymized data does not constitute Company Data or Confidential Information of Company and may be retained and used by Yuno indefinitely.

13. TERM, TERMINATION, AND EFFECTS OF TERMINATION

13.1 Term.  This Agreement shall commence on the Effective Date and shall remain in effect for the Subscription Term as specified in the applicable Order Form. Company may terminate this Agreement before the end of the initial Subscription Term or any subsequent renewal term by providing written notice to Yuno and paying, within thirty (30) calendar days after the termination date, all remaining monthly subscription fees for the balance of the then-current term. This Agreement shall automatically renew for successive periods equal to the duration of the initial Subscription Term, unless either party gives written notice of non-renewal at least sixty (60) days prior to the end of the then current Subscription Term.

13.2 Termination for Cause. Either party may terminate this Agreement for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of such breach. This Agreement shall be deemed terminated as of right regardless of judicial or extrajudicial notice, by the occurrence of any of the following events: establishment of notorious insolvency, bankruptcy, judicial or extrajudicial recovery, or by the dissolution or liquidation of either party. In addition, Yuno may suspend use of the Services without liability if Yuno determines that Company or any User is in breach of the Company Data Rights and License section or the Use Restrictions section, or Yuno is required by any applicable law to suspend the Services.

13.3 Effects of Termination. Upon expiration or termination of this Agreement, all rights and licenses granted to Company under this Agreement shall immediately terminate, and Company shall immediately pay to Yuno all amounts due for the period contracted for by Company. Notwithstanding anything to the contrary in this Agreement, the sections relating to Fees and Payment Terms, Effects of Termination, Mutual Indemnification, Aggregate Liability Cap, Confidentiality Obligations, Company Data Rights and License, Yuno Analytics Data, Use Restrictions, and General Provisions shall survive termination or expiration of this Agreement, and no refunds shall be made except for service credits as provided in the Service Level Agreement.

13.4 Unilateral Termination by Yuno. Yuno reserves the right to unilaterally terminate this Agreement at any time, without the need for justification, by providing written notice to Company at least ninety (90) days in advance. In the event of exercising this right, Yuno shall provide Company with service credits for the proportional part of the subscription fee corresponding to the unused period of the service, if any. The unilateral termination by Yuno shall not give rise to any right to compensation in favor of Company, beyond the aforementioned service credits.

14. DISPUTE RESOLUTION

Any controversy or difference generated on the occasion of this Agreement or its execution, will be tried to be solved in the first instance by direct settlement between the parties. If thirty (30) calendar days after the dispute has arisen it has not been resolved, any dispute arising out of or in connection with this Agreement, including any question regarding its existence, validity or termination, shall be referred to and finally resolved by arbitration in Singapore in accordance with the Singapore International Arbitration Centre (SIAC) Rules, which rules are deemed to be incorporated by reference into this clause. The seat of arbitration shall be Singapore. The language of the arbitration shall be English.

15. GENERAL PROVISIONS

15.1 Enforceable Title. This Agreement contains clear, express and enforceable obligations and are therefore enforceable in favor of each of the parties.

15.2 Partial Nullity and Non-Waiver of Rights. In the event that any provision of this Agreement is held to be void, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not be affected or limited in any way. The failure or delay of either party to exercise any of the powers or rights set forth in this Agreement, or to enforce them, shall not be construed as a waiver of such rights or powers or affect the validity in whole or in part of this Agreement, or the right of the respective party to subsequently exercise such powers or rights, except as otherwise provided by law or contract.

15.3 Assignment of Terms and Conditions. Company may not assign, in whole or in part, the performance of this Agreement to a third party, nor the obligations and rights arising therefrom. However, Yuno may assign its rights and obligations under this Agreement to another entity within its corporate group, whether an affiliate or subsidiary provided that advance written notice is given to the Company.

15.4 Entire Agreement. This Agreement represent the entire agreement of the parties hereto and supersede any oral or written agreement, express or implied, which exists or may exist between them with respect to the subject matter of this Agreement.

15.5 Taxes. Except as specifically agreed in this Agreement, each party shall be responsible for the payment of any taxes imposed on it by applicable law in connection with the execution and performance of this Agreement.

15.6 Availability, Security and Stability. Yuno does not guarantee the availability or uptime of the API or its Services. In the event of instability or major technical inconveniences, Yuno shall have no liability to Company, but will use its best efforts to stabilize its operability and will provide the corresponding service credits that apply in accordance with what is set forth in the Service Level Agreement.

15.7 Declaration of Origin of Funds and Financing of Terrorism. The company declares that its income comes from lawful activities, which are not included in lists for the control of money laundering and terrorist financing, administered by any national or foreign authority, and that consequently it is obliged to respond for all damages that it may cause as a result of this statement. Accordingly, Yuno may deprive Company of the use of the Services in the event that Company is included in the list of the Office of Foreign Assets Control - OFAC issued by the Office of the Treasury of the United States of America, the list of the United Nations and other public lists related to money laundering and terrorist financing or serious criminal offences. Also, the Company represents that its funds are derived from lawful activities and that it is not listed under any sanctions administered by the Monetary Authority of Singapore, the United Nations Security Council, or any applicable foreign authority

15.8 Business Ethics and Anti-Corruption. Company undertakes to implement internal control mechanisms to prevent acts of corruption and agrees not to receive or offer, directly or indirectly, from and to employees, managers, or subordinates of Yuno any sums of money, objects of pecuniary value, or other benefits in exchange for performing, omitting, or delaying any act related to the exercise of functions. The company represents and warrants that it will comply with applicable anti-corruption laws including the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act, and other national and international regulations relating to the prevention of fraud, bribery, corruption, money laundering and terrorism. The company declares that neither it nor its officers, employees, directors, managers or subcontractors are subject to investigations or processes related to violation of anti-corruption regulations. Any breach of anti-corruption obligations constitutes a violation of this Agreement and gives Yuno the right to terminate the Services immediately. The company agrees to notify Yuno within twenty-four (24) hours of any investigation, proceeding, or sanction initiated against it or its representatives related to anti-corruption matters. This clause shall be interpreted in accordance with the Prevention of Corruption Act (Cap. 241) and the Corruption, Drug Trafficking and Other Serious Crimes (Confiscation of Benefits) Act (Cap. 65A) of Singapore

15.9 Payments for Tangible or Intangible Benefits. The parties agree that they shall not be obligated to pay any sum of money to the other party for any tangible or intangible benefits that they acquire by virtue of the use of the Services that is not expressly defined in this Agreement or in any Order Form between the parties. Yuno reserves the right to terminate the Agreement immediately if the Company breaches anti-corruption obligations, as per applicable laws, without the need for judicial declaration.

15.10 Governing Law and Contractual Domicile. This Agreement shall be governed by and construed in accordance with the laws of Singapore. The parties submit to the exclusive jurisdiction of the courts of Singapore.

15.11. Amendments and Updates. Yuno reserves the right to modify or update these Terms and Conditions at any time to reflect changes in applicable law, regulatory requirements, technological developments, or internal policies. The updated version shall be published on Yuno’s official website and shall become effective on the date of its publication. The Company’s continued use of the Services after the effective date of any update shall constitute acceptance of the revised Terms and Conditions. Upon request, Yuno shall provide the Company with a copy or record of previous versions of the Terms and Conditions for reference or compliance purposes.

15.12. ONBOARDING. Company must complete Yuno's compliance requirements, including KYC and AML verifications. Access to Yuno's services requires Yuno's approval of submitted documentation. For pre-onboarding services, Company must fulfill all requirements within thirty (30) days of the Effective Date or risk immediate termination without notice or indemnification. Company shall promptly notify Yuno of significant business changes. Yuno reserves the right to conduct additional compliance reviews as needed or required by regulations. Company agrees to cooperate with all compliance assessments

RECITALS

‍

Yuno USA LLC (hereinafter "Yuno") is a corporation duly organized and existing under the laws of the State of Delaware, United States of America,. For all purposes of this Agreement (hereinafter "Terms and Conditions"), Yuno operates Yuno's cloud-based payment-orchestration platform and any related technology, including dashboards, application programming interfaces, software-development kits, and the professional or technical support services provided by Yuno. Through the Services, Companies can access multiple payment methods, fraud-prevention tools, and other integrated payment-industry solutions (hereinafter collectively referred to as the "Services").

The Company (hereinafter the "Company") shall be the individual or legal entity that, through an Order Form, contracts and acquires the Services provided by Yuno.

‍

These Terms and Conditions, together with any applicable Order Form executed by the parties and the schedules and annexes referenced herein, constitute the complete agreement between Yuno and Company (the "Agreement"). References to "this Agreement" throughout these Terms and Conditions refer to the entire contractual framework, while references to "these Terms and Conditions" refer specifically to this document. In the event of any conflict between these Terms and Conditions and an Order Form, the Order Form shall prevail.

DEFINITIONS

‍

For purposes of this Agreement, the following terms shall have the meanings set forth below:

‍

"Affiliate" means, with respect to any party, any entity that directly or indirectly controls, is controlled by, or is under common control with such party, where "control" means the possession, directly or indirectly, of the power to direct or cause the direction of the management and policies of such entity, whether through ownership of voting securities, by contract, or otherwise.

‍

"Agreement" means this Agreement, together with any applicable Order Forms, Service Level Agreement, Data Processing Agreement, and all exhibits, Annexes, or other documents incorporated herein by reference, as each may be amended, modified, or supplemented from time to time in accordance with the terms hereof.

‍

"API" means Yuno's application programming interfaces that enable Company to access, integrate with, and use the Services, including all related documentation, software development kits, and technical specifications.

‍

"Company Data" means all electronic data, information, content, materials, or other intellectual property submitted, uploaded, transmitted, or otherwise provided by Company to Yuno in connection with Company's use of the Services.

‍

"Confidential Information" means any and all technical, commercial, financial, strategic, legal, operational, or other proprietary information related to either party's business operations, plans, strategies, customers, suppliers, partners, or affairs, whether disclosed orally, in writing, electronically, or by any other means, and whether or not marked as confidential.

‍

"Company" means the individual or legal entity that enters into an Order Form with Yuno to acquire and use the Services provided by Yuno.

‍

"Data Processing Agreement" means Yuno's Global Data Processing Agreement that governs the processing of personal data in accordance with applicable privacy and data protection laws, attached as Annex B and incorporated herein by reference.

‍

"Documentation" means all user guides, technical manuals, operational procedures, API documentation, integration guides, and other written or electronic materials provided by Yuno that describe the installation, configuration, operation, use, or technical specifications of the Services.

‍

"Effective Date" means the effective date as specified in the relevant Order Form.

‍

"Force Majeure Event" means any cause, condition, or event beyond the reasonable control of the affected party, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government actions, regulatory changes, failures or disruptions of telecommunications networks, internet service providers, or other third-party services.

‍

"Intellectual Property Rights" means all intellectual property rights of any kind anywhere in the world, including but not limited to patents, copyrights, trademarks, trade secrets, know-how, and any applications, registrations, renewals, or extensions thereof.

‍

“Monthly Platform Fee” means the fixed subscription fee payable by the Company to Yuno on a monthly basis, which includes many active users (with an additional charge per extra user per month), unlimited connections and tokens, full access to all Yuno connections available at the time, and support services.

‍

"Order Form" means a written agreement, order form, statement of work, or similar document executed by both parties that references and incorporates this Agreement and specifies the particular Services to be provided, applicable fees, payment terms, service levels, and other commercial or technical terms specific to such Services.

‍

"Service Level Agreement" or "SLA" means the service level commitments, availability targets, performance standards, measurement methodologies, remedies, and related terms applicable to the Services as set forth in Annex A attached hereto and incorporated herein by reference.

‍

"Services" means Yuno's cloud-based payment-orchestration platform and any related technology, including but not limited to dashboards, application programming interfaces, software-development kits, integration tools, and the professional or technical support services provided by Yuno. Through the Services, Companies can access multiple payment methods, fraud-prevention tools, and other integrated payment-industry solutions.

‍

"Subscription Fees" means all fees, charges, and other amounts payable by Company to Yuno for the Services as specified in the applicable Order Form.

‍

"Subscription Term" means each period during which Services are provided to Company, as specified in the applicable Order Form, including the initial term and any renewal periods.

‍

“Transaction Fee - Account Updater” means a fee charged for each update using the automatic card data update service provided by the card schemes, which supplies updated card information such as account number changes, expiration dates, closed account notifications, and recommendations to contact cardholders. The card schemes may unilaterally adjust the prices applicable to this service at any time, without prior notice. In such a case, Yuno shall immediately and thoroughly pass through the adjusted prices to the Company, and shall not apply any mark-up or surcharge to the amounts so stipulated.

‍

“Transaction Fee - Chargeback Alerts” means  (a) Ethoca Service (Mastercard). A fee charged for the use of the Ethoca service, an information-sharing solution among card issuers, merchants, and acquirers designed to mitigate risks of fraudulent transactions and disputes (chargebacks). Integration with the Ethoca platform grants the Merchant near real-time access to alerts of potentially disputed transactions, enabling preventive measures such as order cancellation or suspension of goods/services delivery. The service aims to reduce financial losses, improve reconciliation processes, and increase efficiency in fraud and dispute management. The applicable fee per alert shall apply to Merchants not classified as high-risk. For this Agreement, high-risk merchants are those classified under the following Merchant Category Codes (MCCs): 4816, 5122, 5816, 5912, 5962, 5966, 5967, 5993, 6051, 7273, and 7995. For such high-risk merchants, the fee shall may be governed by this clause and may be subject to negotiation between the Parties through a specific contractual amendment. (b) Verifi Service (Visa). A fee charged for the use of the Verifi service, which aims to prevent chargebacks through real-time information sharing between card issuers and merchants. This solution provides the Merchant with early alerts of disputes before the chargeback is effected, allowing corrective measures such as proactive refunds or suspension of goods/services delivery. The service is intended to reduce financial losses, increase amicable resolution rates, and improve the end-customer experience.

‍

“Transaction Fee - Fraud Prevention” means a fee charged for each successful API call made to Yuno’s Partner anti-fraud platform, regardless of whether the fraud engine accepts or rejects the transaction. It considers the statuses “Validation Successful” and/or “Evaluation without decision”.

‍

“Transaction Fee - Monitoring” means a fee charged for the fraud risk monitoring service provided by the Contractor, which supervises transactions and related events. This service sends alerts to the Client whenever suspicious or anomalous transaction patterns are detected.

‍

“Transaction Fee - Network Token” means a fee charged for each token-related event generated by Yuno in connection with enabling payments or transactions through the card schemes. For purposes of clarity, such fee shall apply both to (i) the initial generation of a network token, and (ii) any subsequent lifecycle management events, including but not limited to updates, replacements, re-provisioning, or other modifications required by the card schemes. Each token generation and each lifecycle update shall be deemed a separate transaction for billing purposes.

‍

“Transaction Fee - Payment” means a fee charged for each transaction in which the payment, pay-out, refund, or validation is successfully completed through the Yuno Platform. For purposes of clarity, a transaction shall be deemed successfully completed when it reaches a final status of “Authorization Successful,” “Payment successfully processed under the applicable purchase methodology,” or “Refund processed successfully.”. For the avoidance of doubt, Yuno shall be entitled to charge Transaction Fees for both verifications, successful payment (payin or payout) transactions and successful refund transactions.

‍

“Transaction Fee - Risk Conditions” means a fee charged for each transaction that is evaluated against predefined risk rules or lists established by Yuno (including, by way of example, “Block List” or “White List”), where a transaction presents risk characteristics, including but not limited to high fraud risk or anomalies in user behavior. Such evaluation may result in one of the following outcomes: “allow,” “block,” or “review.” A fee shall be charged for every transaction that results in any of these outcomes, irrespective of whether the transaction is subsequently completed, declined, or held for further verification.

‍

“Transaction Fee - Smart Routing” means a fee charged for the use of Yuno’s proprietary routing technology that dynamically directs transactions to the most efficient or cost-effective acquiring network or payment channel based on operational parameters, success rates, and cost optimization logic.

‍

“Transaction Fee - 3DS” means a fee applied to each transaction that undergoes authentication through the EMV 3-D Secure (3DS) protocol within Yuno’s infrastructure. For billing purposes, one (1) 3DS Transaction shall be counted when any of the following events occur: (i) a Versioning Request with its corresponding response is processed; (ii) an Authentication Request is processed without a prior Versioning Request; or (iii) a Verify Enrollment Request is processed under 3DS 1.0. If a Versioning Request and an Authentication Request are part of the same flow for the same cardholder, they shall be counted together as one (1) single 3DS Transaction. For the avoidance of doubt, a 3DS Transaction refers exclusively to authentication processes executed and completed within Yuno’s 3DS environment, and does not include any separate or external 3DS API requests made to third-party servers as described in the definition of “Transaction Fee – External 3DS API Call.”.

‍

“Transaction Fee - External 3DS API Call” means a fee charged per individual API request initiated through Yuno’s platform and directed to an external 3-D Secure (3DS) server (including, without limitation, Access Control Servers (ACS), Directory Servers, or any third-party authentication endpoints) for purposes of authentication, versioning, or verification, regardless of the outcome or whether such request results in a successfully authenticated 3DS Transaction. Each external 3DS API request shall be billed as a separate and independent event. For clarity, External 3DS API Calls are distinct from 3DS Transactions and are not cumulatively charged where the same request results in a single 3DS Transaction processed within Yuno’s environment.

‍

"Trial Period" means any period during which Services are provided to Company on a trial, evaluation, pilot, or demonstration basis at no charge, as specified in the applicable Order Form.

‍

"User" means any individual person who is authorized by Company to access or use the Services under Company's account.

‍

1. SERVICES AND PLATFORM ACCESS

‍

1.1 Service Provision. Subject to the terms and conditions of this Agreement, Yuno shall provide Company with access to Yuno's cloud-based payment orchestration platform and related Services as described in each Order Form for use by Company and its authorized Users. Each Order Form shall set forth the specific nature, scope, and configuration of the payment infrastructure services and platform capabilities that have been selected and purchased by Company, whether the Services will be provided on a trial basis and the duration of such Trial Period if applicable, the Subscription Term during which the Services will be provided, the service level standards and commitments as described in the Service Level Agreement, the Subscription Fees applicable to such Services, payment terms and conditions, any usage limitations, technical requirements, or special terms applicable to the Services, and any other commercial, technical, or legal terms specific to such Services. In the event of any conflict or inconsistency between the terms and conditions set forth in an Order Form and these Terms and Conditions, the Order Form shall govern. Company acknowledges and agrees that it shall be solely responsible and liable for all acts, omissions, negligence, misconduct, or breaches by Company or any User in connection with the access to or use of the Services.

‍

1.2 API Access and Integration. Yuno shall use commercially reasonable efforts to promptly provide Company with access to Yuno's application programming interfaces, software development kits, integration tools, and related Documentation. Yuno shall host, maintain, and operate the API infrastructure, and Company shall access such APIs through the Services in accordance with the terms of this Agreement and the applicable Documentation. Company expressly acknowledges and agrees that the API and all functionality, features, and capabilities of the API are available solely through the Services and are not available as standalone products or services, the API is not licensed or provided separately from the Services under any circumstances, all access to and use of the API is subject to the terms and conditions of this Agreement and the applicable Service Level Agreement, and Company shall not access, use, or attempt to access or use the API separately from or independently of the Services.

‍

2. SERVICE LEVEL AGREEMENT

‍

Yuno shall use commercially reasonable efforts to comply with and meet the service level standards, availability commitments, performance targets, and other service level requirements described in the Service Level Agreement set forth in Annex A, which is attached hereto and incorporated into this Agreement by reference as an integral part of this Agreement. The Service Level Agreement includes specific availability commitments and uptime targets for the Services, performance standards and response time requirements, measurement methodologies and calculation procedures, service credits and remedies for failure to meet service level commitments, exclusions and limitations, escalation procedures and communication protocols, maintenance windows and Annexd downtime, and procedures for reporting, tracking, and resolving service level issues and disputes. Customer acknowledges that the service credits set forth in the Service Level Agreement constitute Company's sole and exclusive remedy for any failure by Yuno to meet the applicable service level commitments.

3. ACCOUNT SECURITY AND USAGE REQUIREMENTS

‍

Company shall be solely responsible for maintaining the confidentiality, security, and integrity of all passwords, user credentials, authentication tokens, API keys, access codes, and other login information applicable to Company's account and Users (collectively, "Account Credentials"). Company agrees and acknowledges that Yuno shall have no responsibility or liability whatsoever with respect to any unauthorized access to or use of Company's account or the Services resulting from Company's failure to adequately protect or secure Account Credentials. Company expressly acknowledges and agrees that Account Credentials are personal to each User and shall not be shared, disclosed, or otherwise made available to any unauthorized persons. Company shall implement and maintain appropriate administrative, technical, and physical safeguards to protect Account Credentials from unauthorized access, use, or disclosure, ensure that all Users comply with reasonable security practices and procedures, monitor all account activity and access to the Services, immediately notify Yuno in writing if Company has reason to believe that the security of Company's account has been compromised, that any Account Credentials have been lost, stolen, or otherwise compromised, or that any unauthorized person has gained access to Company's account or any of the Services, and cooperate fully with Yuno in investigating any suspected security incidents or breaches.

4. FEES, PAYMENT TERMS, AND TAX OBLIGATIONS

‍

4.1 Subscription Fees and Payment Obligations. Company shall pay to Yuno all Subscription Fees and other charges in accordance with the payment terms, schedules, and conditions set forth in the applicable Order Form. Company may activate Additional Services through the Services, and upon such activation, Yuno will charge Company for the Additional Services in accordance with the pricing set forth in Annex C (Additional Services Price List), which is attached hereto and incorporated herein by reference. The Subscription Fees do not include any applicable taxes, duties, levies, tariffs, or other governmental charges, which shall be charged separately and in addition to the Subscription Fees as provided herein. Except as otherwise expressly set forth in the applicable Order Form, Yuno shall invoice Company for Subscription Fees in arrears on a monthly basis for the preceding month's Services. Company shall pay all amounts invoiced by Yuno within thirty (30) days after the date of such invoice, and all payments shall be made in the currency specified in the applicable Order Form by wire transfer in immediately available funds to a bank account designated by Yuno in writing. All Subscription Fees and other amounts payable hereunder are non-refundable and non-cancellable except as expressly provided in this Agreement.

‍

4.2 Late Payment, Interest, and Collection Costs. In the event that Company fails to pay any amount when due under this Agreement, such unpaid amount shall bear interest at the rate of one and one-half percent (1.5%) per month, or the highest rate permitted by applicable law, whichever is lower, calculated from the original due date of such amount until the date of payment in full thereof. Company shall be liable for and shall pay all sales, use, value-added, goods and services, and other similar taxes, duties, levies, assessments, or charges of any nature whatsoever imposed by any governmental authority on or with respect to the Subscription Fees and other charges applicable to the provision of the Services, excluding only taxes based solely on Yuno's gross or net income, revenues, or profits.

‍

4.2.1 If the Company fails to pay any invoiced amount within thirty (30) calendar days after its due date, Yuno may suspend access to the Services and the API until all outstanding amounts (including accrued interest and applicable taxes) have been paid in full. If the payment default persists, Yuno shall have the right, at its sole discretion and without further notice, to terminate this Agreement for cause, and all amounts remaining under the current Subscription Term shall become immediately due and payable. Suspension or termination under this Section shall not relieve the Company from its obligation to pay all outstanding fees, interest, or charges accrued prior to such suspension or termination, nor shall it entitle the Company to any service credits, refunds, or compensation of any kind.

‍

4.2.2 In the event of non-payment by the Company, Yuno may: (a) refer the outstanding balance to a third-party collection agency or initiate civil proceedings in the competent court; (b) report the delinquency to credit bureaus or commercial credit registries, subject to prior written notice; and (c) recover from the Company all collection costs, attorneys’ fees, court costs, and expenses incurred in connection with enforcement actions. The Company acknowledges that all invoices issued under this Agreement constitute accounts receivable evidenced by written contract.

4.3 Tax Responsibilities. All amounts payable to Yuno under this Agreement shall be paid free and clear of all taxes, deductions, and withholdings. Each party shall be responsible for all taxes imposed by federal, state, and local authorities applicable to its business operations, in connection with this Agreement and the Services.

‍

4.4 Fee Modifications and Service Credits. Yuno shall not be obligated to issue any refunds or reimbursements for Subscription Fees or other amounts paid by Company, except for service credits as expressly provided in the Service Level Agreement. Upon automatic renewal of any Subscription Term, Yuno may increase Subscription Fees by up to eight percent (8%) with the prior written agreement of the Company. For any price changes during a current Subscription Term Yuno shall provide Company with at least sixty (60) days' prior written notice of such pricing changes, and Company must accept such changes in writing for them to become effective.

‍

4.5 Know Your Customer and Due Diligence. Company shall provide and maintain current, accurate, and complete information regarding its beneficial ownership, business activities, funding sources, and regulatory status. Yuno may apply enhanced due diligence measures for PEPs, high-risk jurisdictions, or elevated-risk business models.

‍

5. REPRESENTATIONS, WARRANTIES, AND ACCEPTANCE

‍

The individual executing this Agreement on behalf of Company represents and warrants that he or she has full corporate power, authority, and legal capacity to represent, bind, and commit Company to compliance with all terms and conditions of this Agreement, and that the execution, delivery, and performance of this Agreement by such individual has been duly authorized by all necessary corporate or other organizational action on the part of Company.

6. LIABILITY, INDEMNIFICATION, AND RISK ALLOCATION

‍

6.1 Company Liability and Responsibility. Company shall be entirely and exclusively responsible for the payment of all salaries, wages, benefits, and other compensation to its employees, as well as the payment and satisfaction of all obligations to its contractors, consultants, and other service providers, any and all damage, loss, injury, liability, or harm that its actions, omissions, negligence, or misconduct, or those of its employees, agents, contractors, or other representatives, may cause to any third parties, any and all breaches of its obligations, duties, or responsibilities under this Agreement or any applicable Order Form, ensuring that all Company Data complies with applicable laws and does not infringe any third-party rights, and obtaining all necessary rights, consents, and authorizations with respect to Company Data and Company's use of the Services.

6.2 Mutual Limitation of Damages. Except with respect to breaches of the Use Restrictions or Confidentiality sections, the infringement, misappropriation, or violation of any Intellectual Property Rights of either party, or either party's indemnification obligations as set forth in the Indemnification section, neither party shall be liable to the other party for any lost profits, lost revenues, lost savings, loss of business opportunities, or any indirect, special, incidental, reliance, punitive, exemplary, or consequential damages of any kind or nature whatsoever, regardless of the form of action or legal theory, whether arising in contract, tort (including negligence), strict liability, or otherwise, and regardless of whether such party has been advised of the possibility of such damages in advance.

6.3 Aggregate Liability Cap. Except with respect to breaches of the Confidentiality section, the infringement, misappropriation, or violation of any Intellectual Property Rights of either party, or the indemnification obligations of either party as set forth in the Mutual Indemnification section, the aggregate liability of each party to the other party for all claims, losses, damages, and expenses arising out of or in connection with this Agreement shall not exceed the total amount of Subscription Fees actually paid by Company to Yuno during the twelve (12) month period immediately preceding the date on which the claim giving rise to such liability first arose. Notwithstanding any provision to the contrary in this Agreement, the sole and exclusive remedy available to Company for any breach of the Service Level Agreement are the service credits provided under such Service Level Agreement, and Yuno shall not be liable for any disclosure, unauthorized access, unauthorized use, loss, theft, or breach of any Company Data or other data or information, except to the extent such disclosure, access, use, loss, theft, or breach results directly from Yuno's gross negligence or willful misconduct. The limitations of liability contained herein are valid and enforceable under Delaware law, and the parties acknowledge they are sophisticated commercial entities contracting at arm’s length

6.4 Mutual Indemnification. Yuno shall, at its own cost and expense, defend Company, its Affiliates, and their respective directors, officers, employees, consultants, contractors, and agents (collectively, "Company Indemnified Parties") against any and all third-party claims, actions, suits, proceedings, or demands, and shall indemnify and hold harmless the Company Indemnified Parties from and against any and all related losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) resulting from or arising in connection with any actual or alleged breach of this Agreement by Yuno, any actual or alleged infringement, misappropriation, or violation of any third-party Intellectual Property Rights by the Services (excluding any modifications made by Company), any gross negligence or willful misconduct by Yuno in connection with the provision of the Services, or any violation of applicable laws, rules, or regulations by Yuno or any person or entity acting on Yuno's behalf.

Company shall, at its own cost and expense, defend Yuno, its Affiliates, and their respective directors, officers, employees, consultants, contractors, and agents (collectively, "Yuno Indemnified Parties") from and against any and all third-party claims, actions, suits, proceedings, or demands, and shall indemnify and hold harmless the Yuno Indemnified Parties from and against any and all related losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) resulting from or arising in connection with any actual or alleged breach of this Agreement by Company, any actual or alleged infringement, misappropriation, or violation of any third-party Intellectual Property Rights by Company Data or Company's use of the Services, any gross negligence or willful misconduct by Company or any User in connection with the use of the Services, or any violation of applicable laws, rules, or regulations by Company or any person or entity acting on Company's behalf.

‍

The indemnification obligations of each party under this section are expressly conditioned upon the indemnified party providing prompt written notice to the indemnifying party upon becoming aware of any claim subject to indemnification, granting the indemnifying party sole control over the defense and settlement of such claim, and providing reasonable cooperation and assistance to the indemnifying party in the defense or settlement of such claim at the indemnifying party's expense.

7. INTELLECTUAL PROPERTY RIGHTS AND OWNERSHIP

‍

Except as expressly provided herein, nothing contained in this Agreement shall be deemed or construed as transferring, assigning, conveying, or granting, in whole or in part, any Intellectual Property Rights or other proprietary rights from one Party to the other. Under no circumstances shall this Agreement be interpreted or understood as effecting any transfer of title, ownership, or proprietary interest in any technology, software, systems, platforms, tools, methods, processes, know-how, trade secrets, databases, or other intellectual property assets owned, developed, or licensed by Yuno, its parent companies, subsidiaries, Affiliates, or related entities.

‍

It is expressly understood and agreed that Yuno is and shall remain the sole and exclusive owner of all rights, titles, and interests in and to the Services, including, without limitation, the Platform, the APIs, the underlying technology, software, systems, infrastructure, modules, algorithms, tools, source code, interfaces, databases, data flows, analytical models, and all related Intellectual Property Rights, encompassing copyrights, software rights, patents, trademarks, trade secrets, domain names, and any other form of protection under applicable Brazilian law and international treaties.

‍

The Company acknowledges and agrees that its rights with respect to the Services are strictly limited to those expressly granted under this Agreement and that no additional rights, whether by implication, estoppel, or otherwise, are conferred to the Company. The Company shall not, without Yuno’s prior written authorization, copy, reproduce, translate, adapt, modify, reverse engineer, disassemble, decompile, disclose, sublicense, or otherwise use Yuno’s technology beyond the authorized scope set forth herein. The Company further represents and warrants that it shall not claim, directly or indirectly, any right of ownership, authorship, derivative creation, registration, or protection over the Platform, the APIs, the “Yuno” brand, or any elements related to the Services. Any developments, enhancements, bug fixes, customizations, integrations, or improvements made by Yuno, even if based on Company’s suggestions or feedback, shall be deemed exclusive property of Yuno, and the Company shall not acquire any ownership rights, financial compensation, or credit arising therefrom.

‍

Without prejudice to the foregoing, the Company hereby expressly authorizes Yuno to use the Company’s corporate name, trade name, trademarks, logos, distinctive signs, and visual identity elements on Yuno’s official website, promotional materials, corporate presentations, customer lists, case studies, marketing campaigns, and business communications, solely for the purpose of identifying the Company as a Yuno client and describing its use of the Services, provided that such use respects good commercial practices and does not harm the Company’s reputation. This authorization is granted on a non-exclusive, royalty-free, and revocable basis upon written notice, and does not imply any assignment or reciprocal license of trademark rights. Any use of brands, trade names, logos, marketing materials, joint promotional actions, or co-branded initiatives between the Parties shall require prior express written approval of the Party holding the respective rights. Yuno, in turn, undertakes to fully respect the Company’s intellectual property rights, refraining from using or reproducing its distinctive elements in a manner that could cause confusion, improper association, or harm to its image, goodwill, or market reputation. Except as expressly set forth in this Agreement, nothing contained herein shall be deemed or construed to effect any transfer, assignment, conveyance, or grant of any Intellectual Property Rights or other proprietary rights from one party to the other party. Under no circumstances shall this Agreement be interpreted, construed, or understood as effecting any transfer of title, ownership, or other proprietary interest in any technology, software, systems, platforms, tools, methods, processes, know-how, trade secrets, or other intellectual property owned, developed, or licensed by Yuno Tecnologías S.A.P.I. de C.V., its parent companies, subsidiaries, Affiliates, or related entities. It is expressly understood and agreed that Yuno is and shall remain the sole and exclusive owner of all right, title, and interest in and to the Services, the API, all underlying technology, software, systems, platforms, infrastructure, tools, methods, processes, algorithms, and all related Intellectual Property Rights. Company acknowledges and agrees that its rights with respect to the Services are limited to those expressly granted in this Agreement, and that no additional rights are granted by implication, estoppel, or otherwise.

‍

Notwithstanding any provision to the contrary in this Agreement, Company hereby authorizes and grants permission to Yuno to use Company's name, trade names, trademarks, service marks, logos, and other identifying marks and materials on Yuno's website, in marketing and promotional materials, in customer lists and case studies, and in other business communications for the purpose of identifying Company as a customer of Yuno and describing Company's use of the Services.

8. INDEPENDENT CONTRACTOR RELATIONSHIP

‍

Company and Yuno are and shall remain independent contractors with respect to each other, and nothing contained in this Agreement is intended to create, establish, or constitute any partnership, joint venture, association, syndicate, agency, franchise, or employment relationship between the parties. Neither party shall have any right, power, or authority to bind, obligate, or commit the other party in any manner whatsoever to any third party. In furtherance of the foregoing, each party shall fulfill and discharge its respective obligations to third parties, including but not limited to all labor, employment, social security, tax, and other legal obligations, entirely independently of the other party.

9. FORCE MAJEURE

‍

Neither party shall be deemed to be in breach of this Agreement or otherwise liable for any delay in performance or non-performance of any of its obligations under this Agreement to the extent that such delay or non-performance results directly or indirectly from any Force Majeure Event. For purposes of this Agreement, a "Force Majeure Event" shall mean any cause, condition, circumstance, or event beyond the reasonable control of the affected party that could not reasonably have been foreseen at the time of execution of this Agreement or, if foreseen, could not reasonably have been avoided, and that occurs after the execution of this Agreement and prevents, delays, or materially hinders the performance of such party's obligations hereunder. The party affected by a Force Majeure Event shall promptly notify the other party in writing of the occurrence of such event and shall use commercially reasonable efforts to mitigate the effects thereof and to resume performance of its obligations as soon as reasonably practicable.

10. USE RESTRICTIONS AND PROHIBITED ACTIVITIES

‍

Except as expressly authorized by this Agreement or with the prior written consent of Yuno, Company shall not, and shall not permit any User or third party to: modify, alter, tamper with, repair, disclose, translate, or create any derivative works based upon the Services or any component, feature, function, or element thereof; license, sublicense, sell, resell, distribute, redistribute, lease, rent, lend, transfer, assign, or otherwise dispose of or make available the Services or any component thereof to any third party; use the Services to store, transmit, or distribute any viruses, worms, time bombs, trojan horses, malware, spyware, or other malicious or harmful software routines or code designed to permit unauthorized access to, or to disable, erase, or otherwise damage or modify any software, hardware, data, or systems; copy, reproduce, frame, mirror, republish, download, display, transmit, or distribute any part or content of the Services; build, develop, or offer any competing product or service, or copy, imitate, or reverse engineer any features, functions, or capabilities of the Services; interfere with, disrupt, or attempt to interfere with or disrupt the integrity, security, or performance of the Services or any data contained therein; attempt to gain unauthorized access to the Services, Company accounts other than Company's own account, or any systems or networks connected to the Services; disclose to any third party any information, data, reports, analyses, or performance benchmarks related to the Services without Yuno's prior written consent; remove, alter, cover, or obscure any proprietary notices, labels, or marks on or within the Services, including but not limited to copyright notices, trademark notices, patent notices, or confidentiality legends; disclose, share, or make available to any third party any passwords, authentication credentials, API keys, or other access information that Yuno has provided to Company or any Users; create, generate, or retain any copies of any content accessed through the Services, except as may be necessary to print or download insubstantial amounts of such content solely in connection with Company's authorized use of the Services; reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive, determine, or gain access to the source code, underlying algorithms, file formats, programming interfaces, or architectural structure of the Services or any component thereof; circumvent, disable, or otherwise interfere with any security-related features or technological protection measures implemented in or by the Services that are intended to prevent or restrict access to or use of any features or functionality of the Services; impose or attempt to impose any unreasonable or disproportionately large burden or load on the Services or any systems or networks connected thereto; use the Services for any purpose that is unlawful, illegal, fraudulent, harmful, or that advocates, promotes, incites, or instructs others to engage in illegal activity or conduct that would violate applicable laws or regulations; or cause, encourage, enable, instruct, or permit any third party to do any of the foregoing prohibited activities.

11. CONFIDENTIALITY OBLIGATIONS

‍

11.1 Definition and Scope. For purposes of this Agreement, "Confidential Information" shall mean any and all technical, commercial, financial, strategic, legal, operational, marketing, business, or other proprietary information and data relating to either party's business operations, activities, plans, strategies, methods, processes, know-how, trade secrets, customers, suppliers, partners, financial condition, or other affairs, whether disclosed orally, in writing, electronically, visually, or by any other means of communication, and whether or not marked, designated, or otherwise identified as confidential, that is disclosed by one party (the "Disclosing Party") to the other party (the "Receiving Party") in connection with this Agreement or the relationship between the parties.

‍

11.2 Confidentiality Obligations. The Receiving Party shall maintain the confidentiality of all Confidential Information using the same degree of care that it uses to protect its own confidential information, but in no event less than reasonable care, not disclose, reveal, divulge, or make available any Confidential Information to any third parties without the prior written consent of the Disclosing Party, not use any Confidential Information for any purpose other than as necessary to perform its obligations or exercise its rights under this Agreement, limit access to Confidential Information to those of its employees, agents, contractors, and advisors who have a legitimate need to know such information for purposes of this Agreement and who have been informed of the confidential nature of such information and are bound by confidentiality obligations at least as restrictive as those set forth herein, and promptly return or destroy all Confidential Information upon termination of this Agreement or upon request by the Disclosing Party.

11.3 Exceptions. The obligations set forth in Section 11.2 shall not apply to any Confidential Information that is or becomes generally publicly known or available through no breach of this Agreement by the Receiving Party, was rightfully known to the Receiving Party prior to disclosure by the Disclosing Party, is rightfully received by the Receiving Party from a third party without breach of any confidentiality obligation, is independently developed by the Receiving Party without use of or reference to the Confidential Information, or is required to be disclosed by applicable law, regulation, or court order, provided that the Receiving Party provides the Disclosing Party with prompt written notice of such requirement and cooperates with the Disclosing Party's efforts to seek a protective order or other appropriate protection.

‍

11.4 Duration and Survival. The confidentiality obligations established in this Section 11 shall remain in full force and effect during the entire term of this Agreement and shall survive termination or expiration of this Agreement for a period of three (3) years thereafter.

‍

12. DATA PROTECTION AND COMPANY DATA

‍

12.1 Compliance with Data Protection Laws. Both parties shall ensure full compliance with all applicable data protection and privacy laws, regulations, and requirements, including but not limited to the CCPA, CPRA, and Delaware Personal Data Privacy Act (DPDPA) and any other applicable federal, state, local, or international laws, regulations, directives, or requirements relating to the protection, privacy, security, breach notification, cross-border transfer, or processing of personal data, personally identifiable information, or the rights of data subjects (collectively, the "Data Protection Requirements").

‍

12.2 Data Processing Agreement. The parties agree that their respective rights, obligations, and responsibilities with regard to the processing of personal data in connection with the Services shall be governed by and subject to the terms and conditions of Yuno's Global Data Processing Agreement, which is incorporated herein by reference as Annex B and constitutes an integral part of this Agreement..

12.3 Company Data Rights and License. As between the parties and subject to the limited license grant set forth in this Section 12.3, Company owns and retains all right, title, and interest in and to all Company Data. During the term of this Agreement, Company hereby grants to Yuno a non-exclusive, royalty-free, worldwide, sublicensable (solely to Yuno's subcontractors and service providers for purposes of providing the Services) right and license to access, collect, use, process, store, transmit, modify, copy, display, and create derivative works of all Company Data solely in connection with and to the extent necessary for the provision of the Services to Company in accordance with this Agreement and the Data Processing Agreement. Company represents, warrants, and covenants that Company has obtained all rights, licenses, consents, permissions, and authorizations necessary to grant Yuno the rights set forth in this Agreement with respect to all Company Data, all Company Data has been collected, stored, transferred, processed, used, disclosed, and otherwise handled in full compliance with all applicable laws, regulations, and requirements, including without limitation all Data Protection Requirements, Company Data does not and will not infringe, violate, or misappropriate any third-party rights, including Intellectual Property Rights, privacy rights, or contractual rights, and Company Data does not and will not contain any viruses, malware, or other harmful or malicious code.

12.4 Yuno Analytics Data. Company acknowledges and agrees that Yuno may monitor, collect, use, and store anonymous, aggregated statistics and performance data about the use of the Services, transaction patterns, system performance metrics, and other non-personally identifiable information related to the provision of the Services (collectively, "Yuno Analytics Data"), which will be aggregated and anonymized such that it cannot identify Company or any specific individuals. Yuno may use Yuno Analytics Data for service improvement, research and development, industry benchmarking, regulatory reporting, and other business purposes. Company acknowledges that such aggregated and anonymized data does not constitute Company Data or Confidential Information of Company and may be retained and used by Yuno indefinitely.

13. TERM, TERMINATION, AND EFFECTS OF TERMINATION

‍

13.1 Term.  This Agreement shall commence on the Effective Date and shall remain in effect for the Subscription Term as specified in the applicable Order Form. Company may terminate this Agreement before the end of the initial Subscription Term or any subsequent renewal term by providing written notice to Yuno and paying, within thirty (30) calendar days after the termination date, all remaining monthly subscription fees for the balance of the then-current term. This Agreement shall automatically renew for successive periods equal to the duration of the initial Subscription Term, unless either party gives written notice of non-renewal at least sixty (60) days prior to the end of the then current Subscription Term.

13.2 Termination for Cause. Either party may terminate this Agreement for cause if the other party materially breaches this Agreement and fails to cure such breach within thirty (30) days after receipt of written notice of such breach. This Agreement shall be deemed terminated as of right regardless of judicial or extrajudicial notice, by the occurrence of any of the following events: establishment of notorious insolvency, bankruptcy, judicial or extrajudicial recovery, or by the dissolution or liquidation of either party. In addition, Yuno may suspend use of the Services without liability if Yuno determines that Company or any User is in breach of the Company Data Rights and License section or the Use Restrictions section, or Yuno is required by any applicable law to suspend the Services.

13.3 Effects of Termination. Upon expiration or termination of this Agreement, all rights and licenses granted to Company under this Agreement shall immediately terminate, and Company shall immediately pay to Yuno all amounts due for the period contracted for by Company. Notwithstanding anything to the contrary in this Agreement, the sections relating to Fees and Payment Terms, Effects of Termination, Mutual Indemnification, Aggregate Liability Cap, Confidentiality Obligations, Company Data Rights and License, Yuno Analytics Data, Use Restrictions, and General Provisions shall survive termination or expiration of this Agreement, and no refunds shall be made except for service credits as provided in the Service Level Agreement.

13.4 Unilateral Termination by Yuno. Yuno reserves the right to unilaterally terminate this Agreement at any time, without the need for justification, by providing written notice to Company at least ninety (90) days in advance. In the event of exercising this right, Yuno shall provide Company with service credits for the proportional part of the subscription fee corresponding to the unused period of the service, if any. The unilateral termination by Yuno shall not give rise to any right to compensation in favor of Company, beyond the aforementioned service credits.

14. DISPUTE RESOLUTION

‍

Any controversy or difference generated on the occasion of this Agreement or its execution, will be tried to be solved in the first instance by direct settlement between the parties. If thirty (30) calendar days after the dispute has arisen it has not been resolved, the parties will submit to the state or federal courts of Wilmington, Delaware, and each Party consents to their jurisdiction. Company agrees that regardless of any law to the contrary, any claim or cause of action arising out of or related to use of the Services or this Agreement must be filed within one (1) year after such claim arose or be forever barred.

15. GENERAL PROVISIONS

‍

15.1 Enforceable Title. This Agreement contains clear, express and enforceable obligations and are therefore enforceable in favor of each of the parties.

‍

15.2 Partial Nullity and Non-Waiver of Rights. In the event that any provision of this Agreement is held to be void, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions shall not be affected or limited in any way. The failure or delay of either party to exercise any of the powers or rights set forth in this Agreement, or to enforce them, shall not be construed as a waiver of such rights or powers or affect the validity in whole or in part of this Agreement, or the right of the respective party to subsequently exercise such powers or rights, except as otherwise provided by law or contract.

15.3 Assignment of Terms and Conditions. Company may not assign, in whole or in part, the performance of this Agreement to a third party, nor the obligations and rights arising therefrom. However, Yuno may assign its rights and obligations under this Agreement to another entity within its corporate group, whether an affiliate or subsidiary provided that advance written notice is given to the Company.

15.4 Entire Agreement. This Agreement represent the entire agreement of the parties hereto and supersede any oral or written agreement, express or implied, which exists or may exist between them with respect to the subject matter of this Agreement.

‍

15.5 Taxes. Except as specifically agreed in this Agreement, each party shall be responsible for the payment of any taxes imposed on it by applicable law in connection with the execution and performance of this Agreement.

‍

15.6 Availability, Security and Stability. Yuno does not guarantee the availability or uptime of the API or its Services. In the event of instability or major technical inconveniences, Yuno shall have no liability to Company, but will use its best efforts to stabilize its operability and will provide the corresponding service credits that apply in accordance with what is set forth in the Service Level Agreement.

15.7 Declaration of Origin of Funds and Financing of Terrorism. The company declares that its income comes from lawful activities, which are not included in lists for the control of money laundering and terrorist financing, administered by any national or foreign authority, and that consequently it is obliged to respond for all damages that it may cause as a result of this statement. Accordingly, Yuno may deprive Company of the use of the Services in the event that Company is included in the list of the Office of Foreign Assets Control - OFAC issued by the Office of the Treasury of the United States of America, the list of the United Nations and other public lists related to money laundering and terrorist financing or serious criminal offences. The Company represents that its operations comply with the U.S. Bank Secrecy Act, the USA PATRIOT Act, and are not listed on any sanctions list administered by the Office of Foreign Assets Control (OFAC).

15.8 Business Ethics and Anti-Corruption. Company undertakes to implement internal control mechanisms to prevent acts of corruption and agrees not to receive or offer, directly or indirectly, from and to employees, managers, or subordinates of Yuno any sums of money, objects of pecuniary value, or other benefits in exchange for performing, omitting, or delaying any act related to the exercise of functions. The company represents and warrants that it will comply with applicable anti-corruption laws including the U.S. Foreign Corrupt Practices Act, the U.K. Bribery Act, and other national and international regulations relating to the prevention of fraud, bribery, corruption, money laundering and terrorism. The company declares that neither it nor its officers, employees, directors, managers or subcontractors are subject to investigations or processes related to violation of anti-corruption regulations. Any breach of anti-corruption obligations constitutes a violation of this Agreement and gives Yuno the right to terminate the Services immediately. The company agrees to notify Yuno within twenty-four (24) hours of any investigation, proceeding, or sanction initiated against it or its representatives related to anti-corruption matters. Company represents compliance with the U.S. Foreign Corrupt Practices Act (FCPA) and all applicable state anti-bribery laws

‍

15.9 Payments for Tangible or Intangible Benefits. The parties agree that they shall not be obligated to pay any sum of money to the other party for any tangible or intangible benefits that they acquire by virtue of the use of the Services that is not expressly defined in this Agreement or in any Order Form between the parties. Yuno reserves the right to terminate the Agreement immediately if the Company breaches anti-corruption obligations, as per applicable laws, without the need for judicial declaration.

15.10 Governing Law and Contractual Domicile. This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and each party irrevocably submits to the jurisdiction of such courts.

15.11. Amendments and Updates. Yuno reserves the right to modify or update these Terms and Conditions at any time to reflect changes in applicable law, regulatory requirements, technological developments, or internal policies. The updated version shall be published on Yuno’s official website and shall become effective on the date of its publication. The Company’s continued use of the Services after the effective date of any update shall constitute acceptance of the revised Terms and Conditions. Upon request, Yuno shall provide the Company with a copy or record of previous versions of the Terms and Conditions for reference or compliance purposes.

15.12. ONBOARDING. Company must complete Yuno's compliance requirements, including KYC and AML verifications. Access to Yuno's services requires Yuno's approval of submitted documentation. For pre-onboarding services, Company must fulfill all requirements within thirty (30) days of the Effective Date or risk immediate termination without notice or indemnification. Company shall promptly notify Yuno of significant business changes. Yuno reserves the right to conduct additional compliance reviews as needed or required by regulations. Company agrees to cooperate with all compliance assessments

18. Amendment of Terms and Conditions

Yuno may amend these Terms and Conditions at any time by providing the Company with at least eight (8) days’ prior notice. However, any provision of these Terms and Conditions that has been modified or otherwise agreed upon differently in the applicable Purchase Order shall not be subject to unilateral amendment by Yuno through such notice, and the terms set forth in the Purchase Order shall prevail.

Yuno Colombia S.A.S. (en adelante "Yuno") es una sociedad por acciones simplificada constituida conforme a las leyes colombianas, identificada con NIT 901.568.211-4, con domicilio principal en Bogotá D.C., en la dirección Cr 7 No 73 55 Of 1202. Para todos los efectos del presente Acuerdo (en adelante "Términos y Condiciones"), Yuno opera la plataforma de orquestación de pagos basada en la nube de Yuno y cualquier tecnología relacionada, incluyendo tableros de control (dashboards), interfaces de programación de aplicaciones (API), kits de desarrollo de software (SDK), y los servicios de soporte profesional o técnico proporcionados por Yuno. A través de los Servicios, las Empresas pueden acceder a múltiples métodos de pago, herramientas de prevención de fraude y otras soluciones integradas de la industria de pagos (en adelante denominados colectivamente como los "Servicios").

‍

Los presentes Términos y Condiciones, junto con cualquier Orden de Compra aplicable ejecutada por las partes y los anexos referenciados en el presente, constituyen el acuerdo completo entre Yuno y la Empresa (el "Contrato"). Las referencias a "este Contrato" a lo largo de estos Términos y Condiciones se refieren al marco contractual completo, mientras que las referencias a "estos Términos y Condiciones" se refieren específicamente al presente documento. En caso de existir conflicto entre estos Términos y Condiciones y una Orden de Compra, prevalecerá lo dispuesto en la Orden de Compra.

DEFINICIONES

‍

Para efectos del presente Contrato, los siguientes términos tendrán los significados que a continuación se establecen:

‍

"Acuerdo de Nivel de Servicio" o "SLA": significa los compromisos de nivel de servicio, objetivos de disponibilidad, estándares de desempeño, metodologías de medición, recursos y términos relacionados aplicables a los Servicios según se establece en el Anexo A adjunto al presente e incorporado al mismo por referencia.

‍

"Acuerdo de Tratamiento de Datos": significa el Acuerdo Global de Tratamiento de Datos de Yuno que rige el tratamiento de datos personales de conformidad con las leyes aplicables de privacidad y protección de datos, anexado como Anexo B e incorporado al presente por referencia.

‍

"Afiliada": significa, con respecto a cualquier parte, cualquier entidad que directa o indirectamente controla, es controlada por, o está bajo control común con dicha parte, donde "control" significa la posesión, directa o indirectamente, del poder para dirigir o causar la dirección de la administración y políticas de dicha entidad, ya sea mediante la propiedad de valores con derecho a voto, por contrato, o de otro modo.

‍

"API": significa las interfaces de programación de aplicaciones de Yuno que permiten a la Empresa acceder, integrarse y utilizar los Servicios, incluyendo toda la documentación relacionada, kits de desarrollo de software y especificaciones técnicas.

‍

"Contrato": significa los presentes Términos y Condiciones, junto con cualquier Orden de Compra aplicable, Acuerdo de Nivel de Servicio, Acuerdo de Tratamiento de Datos, y todas las exhibiciones, Anexos u otros documentos incorporados al presente por referencia, según cada uno pueda ser enmendado, modificado o complementado de tiempo en tiempo de conformidad con los términos del mismo.

‍

"Cuota Mensual de Plataforma": significa la tarifa fija de suscripción pagadera por la Empresa a Yuno mensualmente, la cual incluye muchos usuarios activos (con un cargo adicional por usuario extra por mes), conexiones y tokens ilimitados, acceso completo a todas las conexiones de Yuno disponibles en ese momento, y servicios de soporte.

‍

"Datos de la Empresa": significa todos los datos electrónicos, información, contenido, materiales u otra propiedad intelectual presentados, cargados, transmitidos o proporcionados de cualquier otra forma por la Empresa a Yuno en relación con el uso de los Servicios por parte de la Empresa.

‍

"Derechos de Propiedad Intelectual": significa todos los derechos de propiedad intelectual de cualquier tipo en cualquier parte del mundo, incluyendo pero no limitado a patentes, derechos de autor, marcas comerciales, secretos industriales, conocimientos técnicos (know-how), y cualquier solicitud, registro, renovación o extensión de los mismos.

‍

"Documentación": significa todas las guías de usuario, manuales técnicos, procedimientos operativos, documentación de API, guías de integración y otros materiales escritos o electrónicos proporcionados por Yuno que describen la instalación, configuración, operación, uso o especificaciones técnicas de los Servicios.

‍

"Empresa": significa la persona natural o jurídica que celebra una Orden de Compra con Yuno para adquirir y utilizar los Servicios proporcionados por Yuno.

‍

"Evento de Fuerza Mayor": significa cualquier causa, condición o evento más allá del control razonable de la parte afectada, incluyendo pero no limitado a actos de Dios, desastres naturales, guerra, terrorismo, disturbios civiles, acciones gubernamentales, cambios regulatorios, fallas o interrupciones de redes de telecomunicaciones, proveedores de servicios de internet u otros servicios de terceros.

‍

"Fecha de Vigencia": significa la fecha de entrada en vigor especificada en la Orden de Compra relevante. 

‍

"Información Confidencial": significa toda información técnica, comercial, financiera, estratégica, legal, operativa u otra información propietaria relacionada con las operaciones comerciales, planes, estrategias, clientes, proveedores, socios o asuntos de cualquiera de las partes, ya sea divulgada oralmente, por escrito, electrónicamente o por cualquier otro medio, y ya sea o no marcada como confidencial.

‍

"Orden de Compra": significa un acuerdo por escrito, orden de compra, declaración de trabajo o documento similar ejecutado por ambas partes que referencia e incorpora este Contrato y especifica los Servicios particulares a ser proporcionados, tarifas aplicables, términos de pago, niveles de servicio y otros términos comerciales o técnicos específicos de dichos Servicios.

"Periodo de Prueba": significa cualquier período durante el cual se proporcionan Servicios a la Empresa en forma de prueba, evaluación, piloto o demostración sin cargo, según se especifica en la Orden de Compra aplicable. 

‍

"Plazo de Suscripción": significa cada periodo durante el cual se proporcionan Servicios a la Empresa, según se especifica en la Orden de Compra aplicable, incluyendo el plazo inicial y cualquier periodo de renovación. 

‍

"Servicios" significa la plataforma de orquestación de pagos basada en la nube de Yuno y cualquier tecnología relacionada, incluyendo pero no limitado a tableros de control, interfaces de programación de aplicaciones, kits de desarrollo de software, herramientas de integración y los servicios de soporte profesional o técnico proporcionados por Yuno. A través de los Servicios, las Empresas pueden acceder a múltiples métodos de pago, herramientas de prevención de fraude y otras soluciones integradas de la industria de pagos.

‍

"Tarifa de Transacción - 3DS" significa una tarifa aplicada a cada transacción que se somete a autenticación a través del protocolo EMV 3-D Secure (3DS) dentro de la infraestructura de Yuno. Para fines de facturación, se contará una (1) Transacción 3DS cuando ocurra cualquiera de los siguientes eventos: (i) se procesa una Solicitud de Versionado con su correspondiente respuesta; (ii) se procesa una Solicitud de Autenticación sin una Solicitud de Versionado previa; o (iii) se procesa una Solicitud de Verificación de Inscripción bajo 3DS 1.0 . Si una Solicitud de Versionado y una Solicitud de Autenticación son parte del mismo flujo para el mismo tarjetahabiente, se contarán juntas como una (1) sola Transacción 3DS. Para evitar dudas, una Transacción 3DS se refiere exclusivamente a los procesos de autenticación ejecutados y completados dentro del ambiente 3DS de Yuno, y no incluye ninguna solicitud de API 3DS separada o externa realizada a servidores de terceros como se describe en la definición de "Tarifa de Transacción - Llamada API 3DS Externa".

‍

"Tarifa de Transacción - Actualizador de Cuenta" significa una tarifa cobrada por cada actualización utilizando el servicio automático de actualización de datos de tarjeta proporcionado por los esquemas de tarjetas, el cual suministra información actualizada de tarjetas como cambios de número de cuenta, fechas de expiración, notificaciones de cuentas cerradas y recomendaciones para contactar a los tarjetahabientes. Los esquemas de tarjetas pueden ajustar unilateralmente los precios aplicables a este servicio en cualquier momento, sin previo aviso. En tal caso, Yuno trasladará inmediata e íntegramente los precios ajustados a la Empresa, y no aplicará ningún margen o recargo a los montos así estipulados.

‍

"Tarifa de Transacción - Alertas de Contracargo" significa (a) Servicio Ethoca (Mastercard). Una tarifa cobrada por el uso del servicio Ethoca, una solución de intercambio de información entre emisores de tarjetas, comercios y adquirentes diseñada para mitigar riesgos de transacciones fraudulentas y disputas (contracargos) . La integración con la plataforma Ethoca otorga al Comerciante acceso casi en tiempo real a alertas de transacciones potencialmente disputadas, permitiendo medidas preventivas como cancelación de órdenes o suspensión de entrega de bienes/servicios. El servicio tiene como objetivo reducir pérdidas financieras, mejorar procesos de conciliación y aumentar la eficiencia en la gestión de fraude y disputas. La tarifa aplicable por alerta se aplicará a Comerciantes no clasificados como de alto riesgo. Para este Acuerdo, comerciantes de alto riesgo son aquellos clasificados bajo los siguientes Códigos de Categoría de Comerciante (MCC): 4816, 5122, 5816, 5912, 5962, 5966, 5967, 5993, 6051, 7273 y 7995. Para dichos comerciantes de alto riesgo, la tarifa puede regirse por esta cláusula y puede estar sujeta a negociación entre las Partes a través de una enmienda contractual específica. (b) Servicio Verifi (Visa). Una tarifa cobrada por el uso del servicio Verifi, el cual tiene como objetivo prevenir contracargos mediante el intercambio de información en tiempo real entre emisores de tarjetas y comercios. Esta solución proporciona al Comerciante alertas tempranas de disputas antes de que se efectúe el contracargo, permitiendo medidas correctivas como reembolsos proactivos o suspensión de entrega de bienes/servicios. El servicio pretende reducir pérdidas financieras, aumentar tasas de resolución amistosa y mejorar la experiencia del cliente final.

‍

"Tarifa de Transacción - Condiciones de Riesgo" significa una tarifa cobrada por cada transacción que se evalúa contra reglas de riesgo predefinidas o listas establecidas por Yuno (incluyendo, a modo de ejemplo, "Lista de Bloqueo" o "Lista Blanca"), donde una transacción presenta características de riesgo, incluyendo pero no limitado a alto riesgo de fraude o anomalías en el comportamiento del usuario. Dicha evaluación puede resultar en uno de los siguientes resultados: "permitir", "bloquear" o "revisar". Se cobrará una tarifa por cada transacción que resulte en cualquiera de estos resultados, independientemente de si la transacción posteriormente se completa, se rechaza o se retiene para verificación adicional.

‍

"Tarifa de Transacción - Llamada API 3DS Externa" significa una tarifa cobrada por cada solicitud de API individual iniciada a través de la plataforma de Yuno y dirigida a un servidor externo de 3-D Secure (3DS) (incluyendo, sin limitación, Servidores de Control de Acceso (ACS), Servidores de Directorio o cualquier punto final de autenticación de terceros) con fines de autenticación, versionado o verificación, independientemente del resultado o de si dicha solicitud resulta en una Transacción 3DS autenticada exitosamente. Cada solicitud de API 3DS externa se facturará como un evento separado e independiente. Para mayor claridad, las Llamadas API 3DS Externas son distintas de las Transacciones 3DS y no se cobran acumulativamente cuando la misma solicitud resulta en una única Transacción 3DS procesada dentro del ambiente de Yuno.

‍

"Tarifa de Transacción - Monitoreo" significa una tarifa cobrada por el servicio de monitoreo de riesgo de fraude proporcionado por Yuno, el cual supervisa transacciones y eventos relacionados. Este servicio envía alertas a la Empresa cuando se detectan patrones de transacciones sospechosos o anómalos.

‍

"Tarifa de Transacción - Pago" significa una tarifa cobrada por cada transacción en la cual el pago, desembolso, reembolso o validación se completa exitosamente a través de la Plataforma Yuno. Para mayor claridad, se considerará que una transacción se ha completado exitosamente cuando alcanza un estado final de "Autorización Exitosa", "Pago procesado exitosamente bajo la metodología de compra aplicable" o "Reembolso procesado exitosamente". Para evitar dudas, Yuno tendrá derecho a cobrar Tarifas de Transacción tanto por verificaciones, transacciones de pago exitosas (payin o payout) como por transacciones de reembolso exitosas.

‍

"Tarifa de Transacción - Prevención de Fraude" significa una tarifa cobrada por cada llamada exitosa a la API realizada a la plataforma antifraude del Socio de Yuno, independientemente de si el motor de fraude acepta o rechaza la transacción. Considera los estados "Validación Exitosa" y/o "Evaluación sin decisión".

‍

"Tarifa de Transacción - Ruteo Inteligente" significa una tarifa cobrada por el uso de la tecnología de ruteo propietaria de Yuno que dirige dinámicamente las transacciones a la red adquirente o canal de pago más eficiente o rentable con base en parámetros operativos, tasas de éxito y lógica de optimización de costos.

‍

"Tarifa de Transacción - Token de Red" significa una tarifa cobrada por cada evento relacionado con tokens generado por Yuno en relación con la habilitación de pagos o transacciones a través de los esquemas de tarjetas. Para mayor claridad, dicha tarifa se aplicará tanto a (i) la generación inicial de un token de red, como a (ii) cualquier evento subsecuente de gestión del ciclo de vida, incluyendo pero no limitado a actualizaciones, reemplazos, re-aprovisionamiento u otras modificaciones requeridas por los esquemas de tarjetas. Cada generación de token y cada actualización del ciclo de vida se considerará una transacción separada para fines de facturación.

‍

"Tarifas de Suscripción" significa todas las tarifas, cargos y otros montos pagaderos por la Empresa a Yuno por los Servicios según se especifica en la Orden de Compra aplicable.

‍

"Usuario" significa cualquier persona física que esté autorizada por la Empresa para acceder o utilizar los Servicios bajo la cuenta de la Empresa.

‍

1. SERVICIOS Y ACCESO A LA PLATAFORMA

‍

1.1 Prestación del Servicio. Sujeto a los términos y condiciones del presente Contrato, Yuno proporcionará a la Empresa acceso a la plataforma de orquestación de pagos basada en la nube de Yuno y Servicios relacionados según se describa en cada Orden de Compra para uso por parte de la Empresa y sus Usuarios autorizados. Cada Orden de Compra establecerá la naturaleza específica, alcance y configuración de los servicios de infraestructura de pagos y capacidades de plataforma que hayan sido seleccionados y adquiridos por la Empresa, el Plazo de Suscripción durante el cual se proporcionarán los Servicios, las Tarifas de Suscripción aplicables a dichos Servicios, términos y condiciones de pago, o términos especiales aplicables a los Servicios, y cualquier otro término comercial, técnico o jurídico específico para dichos Servicios. 

‍

En caso de existir conflicto o inconsistencia entre los términos y condiciones establecidos en una Orden de Compra y los presentes Términos y Condiciones, prevalecerá lo dispuesto en la Orden de Compra. La Empresa reconoce y acepta que será única y exclusivamente responsable de todos los actos, omisiones, negligencia, conducta indebida o incumplimientos por parte de la Empresa o cualquier Usuario en relación con el acceso o uso de los Servicios.

‍

1.2 Acceso e Integración a la API. Yuno realizará esfuerzos comercialmente razonables para proporcionar oportunamente a la Empresa acceso a las interfaces de programación de aplicaciones, kits de desarrollo de software, herramientas de integración y Documentación relacionada de Yuno. Yuno alojará, mantendrá y operará la infraestructura de API, y la Empresa accederá a dichas API a través de los Servicios de conformidad con los términos del presente Contrato y la Documentación aplicable. La Empresa reconoce y acepta expresamente que la API y toda la funcionalidad, características y capacidades de la API están disponibles únicamente a través de los Servicios y no están disponibles como productos o servicios independientes, la API no se licencia ni se proporciona de forma separada de los Servicios bajo ninguna circunstancia, todo acceso y uso de la API está sujeto a los términos y condiciones del presente Contrato y el Acuerdo de Nivel de Servicio aplicable, y la Empresa no accederá, usará o intentará acceder o usar la API de forma separada o independiente de los Servicios.

2. ACUERDO DE NIVEL DE SERVICIO

‍

Yuno realizará esfuerzos comercialmente razonables para cumplir y dar cumplimiento a los estándares de nivel de servicio, compromisos de disponibilidad, objetivos de desempeño y otros requisitos de nivel de servicio descritos en el Acuerdo de Nivel de Servicio establecido en el Anexo A, el cual se adjunta al presente y se incorpora a este Contrato por referencia como parte integrante del mismo. El Acuerdo de Nivel de Servicio incluye compromisos específicos de disponibilidad y objetivos de tiempo de actividad para los Servicios, estándares de desempeño y requisitos de tiempo de respuesta, metodologías de medición y procedimientos de cálculo, créditos de servicio y remedios por incumplimiento de los compromisos de nivel de servicio, exclusiones y limitaciones, procedimientos de escalamiento y protocolos de comunicación, ventanas de mantenimiento y tiempo de inactividad programado, y procedimientos para reportar, dar seguimiento y resolver problemas y controversias de nivel de servicio. La Empresa reconoce que los créditos de servicio establecidos en el Acuerdo de Nivel de Servicio constituyen el remedio único y exclusivo de la Empresa por cualquier incumplimiento por parte de Yuno de los compromisos de nivel de servicio aplicables.

3. SEGURIDAD DE CUENTA Y REQUISITOS DE USO

‍

La Empresa será única y exclusivamente responsable de mantener la confidencialidad, seguridad e integridad de todas las contraseñas, credenciales de usuario, tokens de autenticación, claves de API, códigos de acceso y otra información de inicio de sesión aplicable a la cuenta de la Empresa y Usuarios (colectivamente, las "Credenciales de Cuenta"). La Empresa reconoce y acepta que Yuno no tendrá responsabilidad alguna respecto de cualquier acceso no autorizado o uso de la cuenta de la Empresa o los Servicios que resulte del incumplimiento de la Empresa de proteger o asegurar adecuadamente las Credenciales de Cuenta. La Empresa reconoce y acepta expresamente que las Credenciales de Cuenta son personales para cada Usuario y no deberán ser compartidas, divulgadas o puestas a disposición de personas no autorizadas. La Empresa deberá implementar y mantener salvaguardas administrativas, técnicas y físicas apropiadas para proteger las Credenciales de Cuenta del acceso, uso o divulgación no autorizados, asegurar que todos los Usuarios cumplan con prácticas y procedimientos razonables de seguridad, monitorear toda la actividad de cuenta y acceso a los Servicios, notificar inmediatamente por escrito a Yuno si la Empresa tiene razones para creer que la seguridad de la cuenta de la Empresa ha sido comprometida, que cualquier Credencial de Cuenta se ha perdido, sustraído o comprometido de otra manera, o que cualquier persona no autorizada ha obtenido acceso a la cuenta de la Empresa o cualquiera de los Servicios, y cooperar plenamente con Yuno en la investigación de cualquier incidente de seguridad o vulneración sospechada.

4. TARIFAS, TÉRMINOS DE PAGO Y OBLIGACIONES FISCALES

‍

4.1 Tarifas de Suscripción y Obligaciones de Pago. La Empresa pagará a Yuno todas las Tarifas de Suscripción y otros cargos de conformidad con los términos de pago, calendarios y condiciones establecidos en la Orden de Compra aplicable. La Empresa podrá activar Servicios Adicionales a través de los Servicios, y tras dicha activación, Yuno cobrará a la Empresa por los Servicios Adicionales de conformidad con la tarificación establecida en el Anexo C (Lista de Precios de Servicios Adicionales), el cual se adjunta al presente y se incorpora al mismo por referencia. Las Tarifas de Suscripción no incluyen cualquier impuesto, derecho, gravamen, arancel u otro cargo gubernamental aplicable, los cuales se cobrarán por separado y adicionalmente a las Tarifas de Suscripción según se dispone en el presente. Salvo que se establezca expresamente de otra manera en la Orden de Compra aplicable, Yuno facturará a la Empresa las Tarifas de Suscripción vencidas mensualmente por los Servicios del mes anterior. La Empresa pagará todos los montos facturados por Yuno dentro de los treinta (30) días calendario posteriores a la fecha de dicha factura, y todos los pagos se realizarán en la moneda especificada en la Orden de Compra aplicable mediante transferencia bancaria en fondos inmediatamente disponibles a una cuenta bancaria designada por Yuno por escrito. Todas las Tarifas de Suscripción y otras cantidades pagaderas en virtud del presente no son reembolsables ni cancelables salvo que se disponga expresamente en el presente Contrato.

‍

4.2 Pago Extemporáneo, Intereses y Costos de Cobranza. En caso de que la Empresa no pague cualquier cantidad cuando sea exigible conforme al presente Contrato, dicha cantidad impaga devengará intereses a la tasa máxima legal permitida en Colombia, calculados desde la fecha de vencimiento original de dicha cantidad hasta la fecha de pago total de la misma. La Empresa será responsable y pagará todos los impuestos sobre ventas, uso, valor agregado, bienes y servicios, y otros impuestos, derechos, gravámenes, contribuciones o cargos similares de cualquier naturaleza impuestos por cualquier autoridad gubernamental sobre o respecto de las Tarifas de Suscripción y otros cargos aplicables a la prestación de los Servicios, excluyendo únicamente los impuestos basados exclusivamente en el ingreso bruto o neto, ingresos o utilidades de Yuno.

‍

4.2.1 Si la Empresa no paga cualquier monto facturado dentro de los treinta (30) días calendario siguientes a su fecha de vencimiento, Yuno podrá suspender el acceso a los Servicios y a la API hasta que todos los montos pendientes (incluidos los intereses acumulados y los impuestos aplicables) hayan sido pagados en su totalidad. Si el incumplimiento de pago persiste, Yuno tendrá el derecho, a su sola discreción y sin necesidad de notificación adicional, de resolver el presente Acuerdo por causa justificada, y todos los montos pendientes bajo el Plazo de Suscripción vigente se considerarán inmediatamente vencidos y pagaderos. La suspensión o terminación conforme a esta Sección no eximirá a la Empresa de su obligación de pagar todas las tarifas, intereses o cargos pendientes acumulados antes de dicha suspensión o terminación, ni otorgará a la Empresa derecho alguno a créditos por servicios, reembolsos o compensaciones de ningún tipo.

‍

4.2.2 La Empresa reconoce expresamente que el presente Acuerdo y las facturas emitidas por Yuno constituyen un instrumento ejecutable o título ejecutivo. En caso de incumplimiento de pago, Yuno podrá: (a) iniciar un proceso ejecutivo ante los tribunales competentes de la República de Colombia para el cobro de los montos impagos, intereses y costos correspondientes; y (b) certificar las facturas impagas ante un Notario Público o autoridad competente, con fines probatorios. La Empresa asumirá todos los gastos legales, costas judiciales y costos de cobranza que se deriven de las acciones de ejecución.

‍

4.3 Responsabilidades Fiscales. Todas las cantidades pagaderas a Yuno conforme al presente Contrato se pagarán libres y sin deducción de cualquier impuesto, deducción y retención. Cada parte será responsable de pagar cualquier impuesto que le sea impuesto por la legislación aplicable en relación con el presente Contrato y los Servicios.

4.4 Modificaciones de Tarifas y Créditos de Servicio. Yuno no estará obligado a emitir reembolsos o devoluciones por Tarifas de Suscripción u otras cantidades pagadas por la Empresa, salvo por créditos de servicio según se dispone expresamente en el Acuerdo de Nivel de Servicio. Tras la renovación automática de cualquier Plazo de Suscripción, Yuno podrá incrementar las Tarifas de Suscripción hasta en un ocho por ciento (8%) con el consentimiento previo por escrito de la Empresa. Para cualquier cambio de precio durante un Plazo de Suscripción vigente, Yuno proporcionará a la Empresa un aviso previo por escrito con al menos sesenta (60) días calendario de anticipación de dichos cambios de precio, y la Empresa deberá aceptar dichos cambios por escrito para que entren en vigor.

4.5 Conozca a su Cliente y Debida Diligencia. La Empresa proporcionará y mantendrá información actual, exacta y completa respecto de su beneficiario final, actividades comerciales, fuentes de financiamiento y estatus regulatorio. Yuno podrá aplicar medidas de debida diligencia reforzada para Personas Expuestas Políticamente (PEP), jurisdicciones de alto riesgo o modelos de negocio de riesgo elevado.

5. DECLARACIONES, GARANTÍAS Y ACEPTACIÓN

‍

La persona natural que ejecute el presente Contrato en representación de la Empresa declara y garantiza que cuenta con plenas facultades societarias, autoridad y capacidad legal para representar, obligar y comprometer a la Empresa al cumplimiento de todos los términos y condiciones del presente Contrato, y que la celebración, otorgamiento y cumplimiento del presente Contrato por parte de dicha persona natural ha sido debidamente autorizada mediante toda la acción societaria u organizacional necesaria por parte de la Empresa.

6. RESPONSABILIDAD, INDEMNIZACIÓN Y DISTRIBUCIÓN DE RIESGOS

‍

6.1 Responsabilidad de la Empresa. La Empresa será entera y exclusivamente responsable del pago de todos los salarios, sueldos, prestaciones y otra compensación a sus empleados, así como del pago y cumplimiento de todas las obligaciones hacia sus contratistas, asesores y otros prestadores de servicios, cualquier daño, pérdida, lesión, responsabilidad o perjuicio que sus acciones, omisiones, negligencia o conducta indebida, o las de sus empleados, agentes, contratistas u otros representantes, puedan causar a terceros, cualquier incumplimiento de sus obligaciones, deberes o responsabilidades conforme al presente Contrato o cualquier Orden de Compra aplicable, asegurar que todos los Datos de la Empresa cumplan con las leyes aplicables y no infrinjan derechos de terceros, y obtener todos los derechos, consentimientos y autorizaciones necesarios respecto de los Datos de la Empresa y el uso de los Servicios por parte de la Empresa.

6.2 Limitación Recíproca de Daños. Salvo respecto de incumplimientos de las secciones de Restricciones de Uso o Confidencialidad, la infracción, apropiación indebida o violación de cualquier Derecho de Propiedad Intelectual de cualquiera de las partes, o las obligaciones de indemnización de cualquiera de las partes según se establece en la sección de Indemnización, ninguna de las partes será responsable ante la otra parte por cualquier lucro cesante, ingresos perdidos, ahorros perdidos, pérdida de oportunidades de negocio, o cualquier daño indirecto, especial, incidental, de confianza, punitivo, ejemplar o consecuencial de cualquier tipo o naturaleza, independientemente de la forma de acción o teoría jurídica, ya sea que surjan en contrato, responsabilidad civil extracontractual (incluyendo negligencia), responsabilidad objetiva, o de otra manera, e independientemente de si dicha parte ha sido advertida de la posibilidad de tales daños con anticipación.

‍

6.3 Límite Agregado de Responsabilidad. Salvo respecto de incumplimientos de la sección de Confidencialidad, la infracción, apropiación indebida o violación de cualquier Derecho de Propiedad Intelectual de cualquiera de las partes, o las obligaciones de indemnización de cualquiera de las partes según se establece en la sección de Indemnización Recíproca, la responsabilidad agregada de cada parte hacia la otra parte por todas las reclamaciones, pérdidas, daños y gastos que surjan de o en relación con el presente Contrato no excederá el monto total de las Tarifas de Suscripción efectivamente pagadas por la Empresa a Yuno durante el período de doce (12) meses inmediatamente anterior a la fecha en que surgió la reclamación que da lugar a dicha responsabilidad. No obstante cualquier disposición en contrario en el presente Contrato, el remedio único y exclusivo disponible para la Empresa por cualquier incumplimiento del Acuerdo de Nivel de Servicio son los créditos de servicio proporcionados conforme a dicho Acuerdo de Nivel de Servicio, y Yuno no será responsable por cualquier divulgación, acceso no autorizado, uso no autorizado, pérdida, sustracción o vulneración de cualquier Dato de la Empresa u otros datos o información, salvo en la medida en que dicha divulgación, acceso, uso, pérdida, sustracción o vulneración resulte directamente de la negligencia grave o dolo de Yuno.

6.4 Indemnización Recíproca. Yuno, a su propio costo y gasto, defenderá a la Empresa, sus Afiliadas y sus respectivos directores, funcionarios, empleados, asesores, contratistas y agentes (colectivamente, las "Partes Indemnizadas de la Empresa") contra cualquier reclamación, acción, demanda, procedimiento judicial o extrajudicial de terceros, e indemnizará y mantendrá en paz y a salvo a las Partes Indemnizadas de la Empresa de y contra cualquier pérdida, daño, responsabilidad, costo y gasto relacionado (incluyendo honorarios razonables de abogados y costas judiciales) que resulten de o surjan en relación con cualquier incumplimiento real o presunto del presente Contrato por parte de Yuno, cualquier infracción, apropiación indebida o violación real o presunta de cualquier Derecho de Propiedad Intelectual de terceros por parte de los Servicios (excluyendo cualquier modificación realizada por la Empresa), cualquier negligencia grave o dolo por parte de Yuno en relación con la prestación de los Servicios, o cualquier violación de leyes, normas o regulaciones aplicables por parte de Yuno o cualquier persona o entidad que actúe en representación de Yuno.

La Empresa, a su propio costo y gasto, defenderá a Yuno, sus Afiliadas y sus respectivos directores, funcionarios, empleados, asesores, contratistas y agentes (colectivamente, las "Partes Indemnizadas de Yuno") de y contra cualquier reclamación, acción, demanda, procedimiento judicial o extrajudicial de terceros, e indemnizará y mantendrá en paz y a salvo a las Partes Indemnizadas de Yuno de y contra cualquier pérdida, daño, responsabilidad, costo y gasto relacionado (incluyendo honorarios razonables de abogados y costas judiciales) que resulten de o surjan en relación con cualquier incumplimiento real o presunto del presente Contrato por parte de la Empresa, cualquier infracción, apropiación indebida o violación real o presunta de cualquier Derecho de Propiedad Intelectual de terceros por parte de los Datos de la Empresa o el uso de los Servicios por parte de la Empresa, cualquier negligencia grave o dolo por parte de la Empresa o cualquier Usuario en relación con el uso de los Servicios, o cualquier violación de leyes, normas o regulaciones aplicables por parte de la Empresa o cualquier persona o entidad que actúe en representación de la Empresa.

‍

Las obligaciones de indemnización de cada parte conforme a la presente sección están expresamente condicionadas a que la parte indemnizada proporcione aviso por escrito oportuno a la parte indemnizante al tener conocimiento de cualquier reclamación sujeta a indemnización, otorgue a la parte indemnizante control exclusivo sobre la defensa y liquidación de dicha reclamación, y proporcione cooperación y asistencia razonables a la parte indemnizante en la defensa o liquidación de dicha reclamación a expensas de la parte indemnizante.

7. DERECHOS DE PROPIEDAD INTELECTUAL Y TITULARIDAD

‍

Excepto según se establece expresamente en este Contrato, nada contenido en el presente se considerará o interpretará como efectuar ninguna transferencia, asignación, transmisión u otorgamiento, total o parcial, de cualesquiera Derechos de Propiedad Intelectual u otros derechos propietarios de una Parte a la otra. Bajo ninguna circunstancia este Contrato se interpretará o entenderá como efectuando ninguna transferencia de título, propiedad u otro interés propietario en ninguna tecnología, software, sistemas, plataformas, herramientas, métodos, procesos, conocimientos técnicos (know-how), secretos industriales, bases de datos u otros activos de propiedad intelectual poseídos, desarrollados o licenciados por Yuno, sus empresas matrices, subsidiarias, Afiliadas o entidades relacionadas.

‍

Se entiende y acepta expresamente que Yuno es y permanecerá como único y exclusivo propietario de todos los derechos, títulos e intereses en y sobre los Servicios, incluyendo, sin limitación, la Plataforma, las APIs, la tecnología subyacente, software, sistemas, infraestructura, módulos, algoritmos, herramientas, código fuente, interfaces, bases de datos, flujos de datos, modelos analíticos y todos los Derechos de Propiedad Intelectual relacionados, abarcando derechos de autor, derechos de software, patentes, marcas comerciales, secretos industriales, nombres de dominio y cualquier otra forma de protección bajo la ley colombiana aplicable y los tratados internacionales.

‍

La Empresa reconoce y acepta que sus derechos con respecto a los Servicios están estrictamente limitados a aquellos expresamente otorgados bajo este Contrato y que no se confieren derechos adicionales a la Empresa, ya sea por implicación, impedimento legal (estoppel) o de otro modo. La Empresa no deberá, sin la autorización previa por escrito de Yuno, copiar, reproducir, traducir, adaptar, modificar, aplicar ingeniería inversa, desensamblar, descompilar, divulgar, sublicenciar o de otro modo usar la tecnología de Yuno más allá del alcance autorizado establecido en el presente. La Empresa además declara y garantiza que no reclamará, directa o indirectamente, ningún derecho de propiedad, autoría, creación derivada, registro o protección sobre la Plataforma, las APIs, la marca "Yuno" o cualquier elemento relacionado con los Servicios. Cualquier desarrollo, mejora, corrección de errores, personalización, integración o mejora realizada por Yuno, incluso si se basa en sugerencias o comentarios de la Empresa, se considerará propiedad exclusiva de Yuno, y la Empresa no adquirirá ningún derecho de propiedad, compensación financiera o crédito derivado de ello.

‍

Sin perjuicio de lo anterior, la Empresa por el presente autoriza expresamente a Yuno a usar el nombre corporativo, nombre comercial, marcas comerciales, logotipos, signos distintivos y elementos de identidad visual de la Empresa en el sitio web oficial de Yuno, materiales promocionales, presentaciones corporativas, listas de clientes, estudios de caso, campañas de marketing y comunicaciones comerciales, con el único propósito de identificar a la Empresa como cliente de Yuno y describir su uso de los Servicios, siempre que dicho uso respete las buenas prácticas comerciales y no perjudique la reputación de la Empresa. Esta autorización se otorga de forma no exclusiva, gratuita y revocable mediante notificación por escrito, y no implica ninguna cesión o licencia recíproca de derechos de marca. Cualquier uso de marcas, nombres comerciales, logotipos, materiales de marketing, acciones promocionales conjuntas o iniciativas de marca compartida (co-branding) entre las Partes requerirá la aprobación previa, expresa y por escrito de la Parte titular de los derechos respectivos. Yuno, a su vez, se compromete a respetar plenamente los derechos de propiedad intelectual de la Empresa, absteniéndose de usar o reproducir sus elementos distintivos de manera que pueda causar confusión, asociación indebida o daño a su imagen, buen nombre (goodwill) o reputación de mercado.

8. RELACIÓN DE CONTRATISTAS INDEPENDIENTES

‍

La Empresa y Yuno son y permanecerán como contratistas independientes respecto el uno del otro, y nada de lo contenido en el presente Contrato tiene la intención de crear, establecer o constituir asociación, empresa conjunta, consorcio, agencia, franquicia o relación laboral alguna entre las partes. Ninguna de las partes tendrá derecho, facultad o autoridad alguna para obligar, comprometer o vincular a la otra parte de manera alguna ante terceros. En cumplimiento de lo anterior, cada parte cumplirá y descargará sus respectivas obligaciones ante terceros, incluyendo pero sin limitarse a todas las obligaciones laborales, de empleo, de seguridad social, fiscales y otras obligaciones legales, enteramente de forma independiente de la otra parte.

9. FUERZA MAYOR

‍

Ninguna de las partes se considerará en incumplimiento del presente Contrato o responsable de otra manera por cualquier retraso en el cumplimiento o incumplimiento de cualquiera de sus obligaciones conforme al presente Contrato en la medida en que dicho retraso o incumplimiento resulte directa o indirectamente de cualquier Evento de Fuerza Mayor. Para efectos del presente Contrato, un "Evento de Fuerza Mayor" significará cualquier causa, condición, circunstancia o evento más allá del control razonable de la parte afectada que no pudo haberse previsto razonablemente al momento de la celebración del presente Contrato o, de haberse previsto, no pudo haberse evitado razonablemente, y que ocurra después de la celebración del presente Contrato y prevenga, retarde o dificulte materialmente el cumplimiento de las obligaciones de dicha parte en virtud del mismo. La parte afectada por un Evento de Fuerza Mayor notificará oportunamente a la otra parte por escrito de la ocurrencia de dicho evento y realizará esfuerzos comercialmente razonables para mitigar los efectos del mismo y reanudar el cumplimiento de sus obligaciones tan pronto como sea razonablemente factible.

10. RESTRICCIONES DE USO Y ACTIVIDADES PROHIBIDA

‍

Salvo que esté expresamente autorizado por el presente Contrato o con el consentimiento previo por escrito de Yuno, la Empresa no, y no permitirá a Usuario o tercero alguno: modificar, alterar, manipular, reparar, divulgar, traducir o crear obras derivadas basadas en los Servicios o cualquier componente, característica, función o elemento de los mismos; licenciar, sublicenciar, vender, revender, distribuir, redistribuir, arrendar, dar en comodato, transferir, ceder o disponer de otra manera o poner a disposición los Servicios o cualquier componente de los mismos a terceros; usar los Servicios para almacenar, transmitir o distribuir virus, gusanos, bombas de tiempo, troyanos, programas maliciosos, spyware u otras rutinas o código de software malicioso o dañino diseñado para permitir acceso no autorizado, o para deshabilitar, borrar o dañar o modificar de otra manera cualquier software, hardware, datos o sistemas; copiar, reproducir, enmarcar, replicar, republicar, descargar, mostrar, transmitir o distribuir parte o contenido alguno de los Servicios; construir, desarrollar u ofrecer producto o servicio competidor alguno, o copiar, imitar o realizar ingeniería inversa de característica, función o capacidad alguna de los Servicios; interferir con, interrumpir o intentar interferir con o interrumpir la integridad, seguridad o desempeño de los Servicios o cualquier dato contenido en los mismos; intentar obtener acceso no autorizado a los Servicios, cuentas de la Empresa distintas de la cuenta propia de la Empresa, o cualquier sistema o red conectado a los Servicios; divulgar a terceros información, datos, reportes, análisis o comparativas de desempeño alguna relacionada con los Servicios sin el consentimiento previo por escrito de Yuno; remover, alterar, cubrir u ocultar avisos de propiedad, etiquetas o marcas en o dentro de los Servicios, incluyendo pero sin limitarse a avisos de derechos de autor, avisos de marcas, avisos de patentes o leyendas de confidencialidad; divulgar, compartir o poner a disposición de terceros contraseña, credencial de autenticación, clave de API u otra información de acceso alguna que Yuno haya proporcionado a la Empresa o cualquier Usuario; crear, generar o retener copia alguna de contenido alguno accedido a través de los Servicios, salvo que sea necesario para imprimir o descargar cantidades insignificantes de dicho contenido únicamente en relación con el uso autorizado de los Servicios por parte de la Empresa; realizar ingeniería inversa, descompilar, desensamblar, descifrar o intentar de otra manera derivar, determinar u obtener acceso al código fuente, algoritmos subyacentes, formatos de archivo, interfaces de programación o estructura arquitectónica de los Servicios o cualquier componente de los mismos; eludir, deshabilitar o interferir de otra manera con característica relacionada con seguridad o medida de protección tecnológica alguna implementada en o por los Servicios que esté destinada a prevenir o restringir el acceso o uso de característica o funcionalidad alguna de los Servicios; imponer o intentar imponer carga o sobrecarga irrazonable o desproporcionadamente grande alguna sobre los Servicios o cualquier sistema o red conectado a los mismos; usar los Servicios para propósito alguno que sea ilegal, ilícito, fraudulento, dañino o que promueva, incite o instruya a otros a participar en actividad ilegal o conducta que viole leyes o regulaciones aplicables; o causar, alentar, habilitar, instruir o permitir a terceros hacer cualquiera de las actividades prohibidas anteriores.

11. OBLIGACIONES DE CONFIDENCIALIDAD

‍

11.1 Definición y Alcance. Para efectos del presente Contrato, "Información Confidencial" significará toda información y datos técnicos, comerciales, financieros, estratégicos, jurídicos, operacionales, de mercadeo, comerciales o de otra naturaleza reservada relacionados con las operaciones comerciales, actividades, planes, estrategias, métodos, procesos, conocimientos técnicos, secretos industriales, clientes, proveedores, socios, condición financiera u otros asuntos de cualquiera de las partes, ya sea divulgada oralmente, por escrito, electrónicamente, visualmente o por cualquier otro medio de comunicación, y esté o no señalada, designada o identificada de otra manera como confidencial, que sea divulgada por una parte (la "Parte Divulgante") a la otra parte (la "Parte Receptora") en relación con el presente Contrato o la relación entre las partes.

‍

11.2 Obligaciones de Confidencialidad. La Parte Receptora mantendrá la confidencialidad de toda Información Confidencial usando el mismo grado de cuidado que utiliza para proteger su propia información confidencial, pero en ningún caso menos que el cuidado razonable, no divulgar, revelar ni poner a disposición Información Confidencial alguna a terceros sin el consentimiento previo por escrito de la Parte Divulgante, no usar Información Confidencial alguna para propósito alguno que no sea necesario para cumplir sus obligaciones o ejercer sus derechos conforme al presente Contrato, limitar el acceso a la Información Confidencial a aquellos de sus empleados, agentes, contratistas y asesores que tengan una necesidad legítima de conocer dicha información para efectos del presente Contrato y que hayan sido informados de la naturaleza confidencial de dicha información y estén sujetos a obligaciones de confidencialidad cuando menos tan restrictivas como las establecidas en el presente, y devolver o destruir oportunamente toda Información Confidencial tras la terminación del presente Contrato o a solicitud de la Parte Divulgante.

‍

11.3 Excepciones. Las obligaciones establecidas en la Sección 11.2 no aplicarán a Información Confidencial alguna que sea o se vuelva generalmente de conocimiento público o disponible sin incumplimiento del presente Contrato por parte de la Parte Receptora, fuera legítimamente conocida por la Parte Receptora con anterioridad a la divulgación por la Parte Divulgante, sea legítimamente recibida por la Parte Receptora de un tercero sin incumplimiento de obligación de confidencialidad alguna, sea desarrollada independientemente por la Parte Receptora sin uso de o referencia a la Información Confidencial, o sea requerida ser divulgada por ley aplicable, regulación u orden judicial, siempre que la Parte Receptora proporcione a la Parte Divulgante aviso por escrito oportuno de dicho requisito y coopere con los esfuerzos de la Parte Divulgante para buscar una orden de protección u otra protección apropiada.

‍

11.4 Duración y Supervivencia. Las obligaciones de confidencialidad establecidas en la presente Sección 11 permanecerán en pleno vigor y efecto durante todo el plazo del presente Contrato y sobrevivirán la terminación o expiración del presente Contrato por un período de tres (3) años posteriores.

‍

12. PROTECCIÓN DE DATOS Y DATOS DE LA EMPRESA

‍

12.1 Cumplimiento con Leyes de Protección de Datos. Ambas partes asegurarán el pleno cumplimiento con todas las leyes, regulaciones y requisitos de protección de datos y privacidad aplicables, incluyendo pero sin limitarse a la Ley 1581 de 2012, el Decreto 1377 de 2013, sus reglamentos de implementación, y cualquier otra ley, regulación, directiva o requisito nacional, departamental, municipal o internacional aplicable relacionado con la protección, privacidad, seguridad, notificación de vulneraciones, transferencia transfronteriza o tratamiento de datos personales, información de identificación personal o los derechos de los titulares de datos (colectivamente, los "Requisitos de Protección de Datos").

‍

12.2 Acuerdo de Tratamiento de Datos. Las partes acuerdan que sus respectivos derechos, obligaciones y responsabilidades respecto del tratamiento de datos personales en relación con los Servicios se regirán por y estarán sujetos a los términos y condiciones del Acuerdo Global de Tratamiento de Datos de Yuno, el cual se incorpora al presente por referencia como Anexo B y constituye una parte integral del presente Contrato. Para actividades de tratamiento que involucren datos personales originados en Colombia, el Anexo Colombia (Anexo C) al Acuerdo de Tratamiento de Datos aplicará y regirá las obligaciones de las partes respecto de los requisitos de protección de datos personales colombianos.

12.3 Derechos y Licencia sobre Datos de la Empresa. Entre las partes y sujeto al otorgamiento limitado de licencia establecido en la presente Sección 12.3, la Empresa posee y retiene todos los derechos, títulos e intereses en y sobre todos los Datos de la Empresa. Durante el plazo del presente Contrato, la Empresa por el presente otorga a Yuno un derecho y licencia no exclusivos, libres de regalías, mundiales, sublicenciables (únicamente a subcontratistas y prestadores de servicios de Yuno para efectos de proporcionar los Servicios) para acceder, recopilar, usar, tratar, almacenar, transmitir, modificar, copiar, mostrar y crear obras derivadas de todos los Datos de la Empresa únicamente en relación con y en la medida necesaria para la prestación de los Servicios a la Empresa de conformidad con el presente Contrato y el Acuerdo de Tratamiento de Datos. La Empresa declara, garantiza y conviene que la Empresa ha obtenido todos los derechos, licencias, consentimientos, permisos y autorizaciones necesarios para otorgar a Yuno los derechos establecidos en el presente Contrato respecto de todos los Datos de la Empresa, todos los Datos de la Empresa han sido recopilados, almacenados, transferidos, tratados, usados, divulgados y manejados de otra manera en pleno cumplimiento con todas las leyes, regulaciones y requisitos aplicables, incluyendo sin limitación todos los Requisitos de Protección de Datos, los Datos de la Empresa no infringen, violan ni se apropian indebidamente de cualquier derecho de terceros, incluyendo Derechos de Propiedad Intelectual, derechos de privacidad o derechos contractuales, y los Datos de la Empresa no contienen ni contendrán virus, programas maliciosos u otro código dañino o malicioso.

12.4 Datos Analíticos de Yuno. La Empresa reconoce y acepta que Yuno puede monitorear, recopilar, usar y almacenar estadísticas anónimas y agregadas y datos de desempeño sobre el uso de los Servicios, patrones de transacciones, métricas de desempeño del sistema y otra información no identificable personalmente relacionada con la prestación de los Servicios (colectivamente, los "Datos Analíticos de Yuno"), los cuales serán agregados y anonimizados de tal manera que no puedan identificar a la Empresa o individuos específicos. Yuno puede usar los Datos Analíticos de Yuno para mejora del servicio, investigación y desarrollo, comparativas de la industria, reportes regulatorios y otros propósitos comerciales. La Empresa reconoce que dichos datos agregados y anonimizados no constituyen Datos de la Empresa ni Información Confidencial de la Empresa y pueden ser retenidos y usados por Yuno indefinidamente.

13. PLAZO, TERMINACIÓN Y EFECTOS DE LA TERMINACIÓN

‍

13.1 Plazo. El presente Contrato iniciará en la Fecha de Inicio de Vigencia y permanecerá en vigor durante el Plazo de Suscripción según se especifica en la Orden de Compra aplicable. La Empresa puede terminar el presente Contrato antes del final del Plazo de Suscripción inicial o cualquier período de renovación subsecuente proporcionando aviso por escrito a Yuno y pagando, dentro de los treinta (30) días calendario posteriores a la fecha de terminación, todas las tarifas de suscripción mensuales restantes por el saldo del plazo vigente. El presente Contrato se renovará automáticamente por períodos sucesivos iguales a la duración del Plazo de Suscripción inicial, a menos que cualquiera de las partes dé aviso por escrito de no renovación cuando menos sesenta (60) días calendario antes del final del Plazo de Suscripción vigente.

13.2 Terminación por Causa. Cualquiera de las partes puede terminar el presente Contrato por causa si la otra parte incumple materialmente el presente Contrato y no subsana dicho incumplimiento dentro de los treinta (30) días calendario posteriores a la recepción del aviso por escrito de dicho incumplimiento. El presente Contrato se considerará terminado de pleno derecho independientemente de aviso judicial o extrajudicial, por la ocurrencia de cualquiera de los siguientes eventos: declaración de insolvencia notoria, quiebra, concordato, procesos de reorganización o liquidación judicial, o por la disolución o liquidación de cualquiera de las partes. Además, Yuno puede suspender el uso de los Servicios sin responsabilidad si Yuno determina que la Empresa o cualquier Usuario está en incumplimiento de la sección de Derechos y Licencia sobre Datos de la Empresa o la sección de Restricciones de Uso, o Yuno está requerido por cualquier ley aplicable para suspender los Servicios.

13.3 Efectos de la Terminación. Tras la expiración o terminación del presente Contrato, todos los derechos y licencias otorgados a la Empresa conforme al presente Contrato terminarán inmediatamente, y la Empresa inmediatamente pagará a Yuno todos los montos adeudados por el período contratado por la Empresa. No obstante cualquier cosa en contrario en el presente Contrato, las secciones relacionadas con Tarifas y Términos de Pago, Efectos de la Terminación, Indemnización Recíproca, Límite Agregado de Responsabilidad, Obligaciones de Confidencialidad, Derechos y Licencia sobre Datos de la Empresa, Datos Analíticos de Yuno, Restricciones de Uso y Disposiciones Generales sobrevivirán la terminación o expiración del presente Contrato, y no se realizarán reembolsos salvo por créditos de servicio según se dispone en el Acuerdo de Nivel de Servicio.

13.4 Terminación Unilateral por Yuno. Yuno se reserva el derecho de terminar unilateralmente el presente Contrato en cualquier momento, sin necesidad de justificación, proporcionando aviso por escrito a la Empresa con cuando menos noventa (90) días calendario de anticipación. En caso de ejercer este derecho, Yuno proporcionará a la Empresa créditos de servicio por la parte proporcional de la tarifa de suscripción correspondiente al período no utilizado del servicio, de haberlos. La terminación unilateral por parte de Yuno no dará lugar a derecho de compensación alguno a favor de la Empresa, más allá de los créditos de servicio antes mencionados.

14. RESOLUCIÓN DE CONTROVERSIAS

‍

Cualquier controversia o diferencia generada con ocasión del presente Contrato o su ejecución, se tratará de resolver en primera instancia mediante arreglo directo entre las partes. Si transcurridos treinta (30) días calendario desde que surgió la controversia ésta no ha sido resuelta, se intentará la conciliación ante cualquier centro de conciliación autorizado en Bogotá D.C. Si en esta instancia no fuere posible resolver la controversia, las partes se someterán a los tribunales de jurisdicción ordinaria en Bogotá D.C. La Empresa acepta que independientemente de cualquier ley en contrario, cualquier reclamación o causa de acción que surja de o esté relacionada con el uso de los Servicios o el presente Contrato debe presentarse dentro de un (1) año después de que surgió dicha reclamación o quedará prescrita.

15. DISPOSICIONES GENERALES

‍

15.1 Título Ejecutivo. El presente Contrato contiene obligaciones claras, expresas y exigibles y por lo tanto presta mérito ejecutivo a favor de cada una de las partes.

‍

15.2 Nulidad Parcial y No Renuncia de Derechos. En caso de que cualquier disposición del presente Contrato se considere nula, ilegal, ineficaz o inaplicable, la validez, legalidad y aplicabilidad de las disposiciones restantes no se verán afectadas o limitadas de manera alguna. El incumplimiento o retraso de cualquiera de las partes en ejercer cualquiera de las facultades o derechos establecidos en el presente Contrato, o para exigirlos, no se interpretará como una renuncia a dichos derechos o facultades ni afectará la validez en su totalidad o en parte del presente Contrato, ni el derecho de la parte respectiva a ejercer posteriormente dichas facultades o derechos, salvo que se disponga de otra manera por ley o contrato.

15.3 Cesión de Términos y Condiciones. La Empresa no podrá ceder, en todo o en parte, la ejecución del presente Contrato a un tercero, ni las obligaciones y derechos derivados del mismo. Sin embargo, Yuno puede ceder sus derechos y obligaciones conforme al presente Contrato a otra entidad dentro de su grupo societario, ya sea afiliada o subordinada siempre que se proporcione aviso por escrito anticipado a la Empresa.

15.4 Contrato Completo. El presente Contrato representa el acuerdo completo de las partes en el presente y reemplaza cualquier acuerdo oral o escrito, expreso o implícito, que exista o pueda existir entre ellas respecto del objeto del presente Contrato.

‍

15.5 Impuestos. Salvo que se convenga específicamente en el presente Contrato, cada parte será responsable del pago de cualquier impuesto que le sea impuesto por la legislación aplicable en relación con la celebración y cumplimiento del presente Contrato.

‍

15.6 Disponibilidad, Seguridad y Estabilidad. Yuno no garantiza la disponibilidad o tiempo de actividad de la API o sus Servicios. En caso de inestabilidad o inconvenientes técnicos mayores, Yuno no tendrá responsabilidad ante la Empresa, pero utilizará sus mejores esfuerzos para estabilizar su operatividad y proporcionará los créditos de servicio correspondientes que apliquen de conformidad con lo establecido en el Acuerdo de Nivel de Servicio.

15.7 Declaración de Origen de Fondos y Financiamiento del Terrorismo. La empresa declara que sus ingresos provienen de actividades lícitas, las cuales no están incluidas en listas para el control de lavado de activos y financiación del terrorismo, administradas por cualquier autoridad nacional o extranjera, y que en consecuencia está obligada a responder por todos los daños que pueda causar como resultado de esta declaración. En consecuencia, Yuno puede privar a la Empresa del uso de los Servicios en caso de que la Empresa esté incluida en la lista de la Oficina de Control de Activos Extranjeros - OFAC emitida por la Oficina del Tesoro de los Estados Unidos de América, la lista de las Naciones Unidas y otras listas públicas relacionadas con lavado de activos y financiació del terrorismo o delitos graves.

‍

15.8 Ética Empresarial y Anticorrupción. La Empresa se compromete a implementar mecanismos de control interno para prevenir actos de corrupción y conviene no recibir ni ofrecer, directa o indirectamente, de y hacia empleados, directivos o subordinados de Yuno suma de dinero alguna, objetos de valor pecuniario u otros beneficios o dádivas a cambio de realizar, omitir o retrasar acto alguno relacionado con el ejercicio de funciones. La empresa declara y garantiza que cumplirá con las leyes anticorrupción aplicables incluyendo la Ley 1474 de 2011 (Estatuto Anticorrupción), la Ley 2195 de 2022, la Ley 1778 de 2016,  Ley de Prácticas Corruptas en el Extranjero de los Estados Unidos (U.S. Foreign Corrupt Practices Act), la Ley de Soborno del Reino Unido (U.K. Bribery Act) y otras regulaciones nacionales e internacionales relacionadas con la prevención de fraude, soborno, corrupción, lavado de activos y terrorismo. La empresa declara que ni ella ni sus funcionarios, empleados, directores, administradores o subcontratistas están sujetos a investigaciones o procesos relacionados con violación de regulaciones anticorrupción. Cualquier incumplimiento de las obligaciones anticorrupción constituye una violación del presente Contrato y otorga a Yuno el derecho de terminar los Servicios inmediatamente. La empresa conviene notificar a Yuno dentro de las veinticuatro (24) horas de cualquier investigación, proceso o sanción iniciado contra ella o sus representantes relacionado con asuntos de anticorrupción.

15.9 Pagos por Beneficios Tangibles o Intangibles. Las partes convienen que no estarán obligadas a pagar suma de dinero alguna a la otra parte por cualquier beneficio tangible o intangible que adquieran en virtud del uso de los Servicios que no esté expresamente definido en el presente Contrato o en cualquier Orden de Compra entre las partes. Yuno se reserva el derecho de terminar el Contrato inmediatamente si la Empresa incumple las obligaciones anticorrupción, según las leyes aplicables, sin necesidad de declaración judicial.

15.10 Ley Aplicable y Domicilio Contractual. Para la interpretación y cumplimiento del presente Contrato, las partes se someten a las leyes de la República de Colombia y los tribunales competentes de Bogotá D.C. Para todos los efectos legales el domicilio contractual será Bogotá D.C., Colombia.

15.11. Modificaciones y Actualizaciones. Yuno se reserva el derecho de modificar o actualizar estos Términos y Condiciones en cualquier momento para reflejar cambios en la ley aplicable, requisitos regulatorios, desarrollos tecnológicos o políticas internas. La versión actualizada se publicará en el sitio web oficial de Yuno y entrará en vigor en la fecha de su publicación.. El uso continuado de los Servicios por parte de la Empresa después de la fecha de entrada en vigor de cualquier actualización constituirá la aceptación de los Términos y Condiciones revisados.. Previa solicitud, Yuno proporcionará a la Empresa una copia o registro de las versiones anteriores de los Términos y Condiciones para fines de referencia o cumplimiento

15.12. ONBOARDING. La Empresa debe completar los requisitos de cumplimiento de Yuno, incluyendo las verificaciones KYC (Conozca su Cliente) y Lavado de Activos y Financiación del Terrorismo (SAGRILAFT o Medidas Mínimas). El acceso a los servicios de Yuno requiere la aprobación por parte de Yuno de la documentación presentada. Para los servicios previos al onboarding, la Empresa debe cumplir todos los requisitos dentro de los treinta (30) días siguientes a la Fecha de Vigencia o se arriesga a la terminación inmediata sin previo aviso ni indemnización. La Empresa notificará sin demora a Yuno cualquier cambio empresarial significativo. Yuno se reserva el derecho de realizar revisiones de cumplimiento adicionales según sea necesario o lo exijan las regulaciones. La Empresa se compromete a cooperar con todas las evaluaciones de cumplimiento.
